7.2 if the verification test demonstrates that the performance of the contracted

prod-uct isnot in conformity with prescribed technical specifications， both parties

demonstuates tha the performance is qualified， both parties shall sign a testing

certificate for the proper perfot- mance

7.3 if party b is responsible for the failure of the first test， party b shall send

5.2.2.甲方受训人员在协议期间分两批，320人日以内〔翻译除外）赴乙方接受培训。

5.2.3.首批培训时间为合同生效后的第三至第四个月，甲方派技术人员4人，翻译1人到乙方工厂接受为期160人日（每周5天工作日）的培训。内容为合同产品的设计和制造工艺。

5.2.4.第二批培训人员的培训时间为合同生效后的第八至第九个月。甲方派技术人员4人，翻译1人到乙方工厂接受为期160人日（每周5天工作日）的培训，培训内容为合同产品的设计、加工工艺、装配工艺和机器的调试。

5.2.5.甲方负担受训人员的旅费。在乙方受训期间的膳宿费及驻地和工厂之间的交通工具由乙方负责提供。

第六条 技术资料

6.以乙方应按本合同附件二规定的内容和时间，在＿＿＿＿交付技术资料。

6.2.＿＿＿＿的邮戳日期，为技术资料的实际交付日期。甲方将带有到达印戳日期的空运提单影印本1份寄给乙方。

6.3在每批技术资料发运后24小时内，乙方应将合同号、空运提单号、空运报单日期、资料项目、件数、重量、航班号和预计抵达日期用电报或电传通知甲方。同时将空运提单和技术资料详细清单各一式2份寄给甲方。

6.4.若技术资料在空运中丢失、损坏、短缺，乙方应在收到甲方书面通知后30天内，免费外寄或重寄给甲方。在甲方收到技术资料后60天内，如果没有以书面形式提出资料不全或增补要求，则视为甲方验收。

6.5.技术资料采用英文，计量单位以公制表示。

第七条 考核与验收

7.1.合同产品的第一台样机，由甲、乙双方组成的联合考核小组，按附件七规定的时间和内容进行考核。如果符合附件一规定的技术要求，即可验收，并由双方代表签署合同产品考核 验收合格证书一式4份，双方各执两份。

7.2.如果合同产品的技术性能达不到规定的技术标准，双方应友好协商，共同研究，分析原因，采取措施，消除缺陷，进行第二次性能考核。考核合格后，双方签署考核合格证书。

7.3.如果第一次考核不合格是乙方责任，乙方应自费再次派遣技术人员进特第二次考核。

7.4.经过第二次考核仍不能合格验收，若责任在于乙方，刚乙方须赔偿甲方遭受的直接损失。并采取措施艄除缺陷，进行第三次考核。

7.5.经过第三次考核仍不合格，如系乙方责任，则甲方有权终止合同，并接第九条的规定处理。若系甲方责任，则由双方协商合同进一步执行的问题。

第八条 技术改进

8.1.乙方提供的技术资料，如有不适合甲方生产条件的（如设计标准、原材料、外购配件及共他生产设备等一，乙方有责任帮助甲方修改技术资料，闪加以确认。在不影响合同产品性能情况下，应采用中国产的原材料、配套元器件和设备。

8.2.在合同有效期内，双方对合同产品的任何改进和创新，都免费将改进或创新的技术资料提供给对方。

8.3.改进或创新的技术所有权属于改进或创新一方，另一方不得对其申请专利或将其转让给第三者。

第九条 保证和索赔

9.1.乙方保证所提供的技术资料是乙方经过实际使用的最新技术资料，并保证向甲方及时提供任何改进和发明的技术资料。

9.2.乙方保证所提供的技术资料是完整的、正确的、清晰的，并保证按时交付。

甲方委托乙方就项目进行翻译(笔译、口译)服务工作，并支付相应的翻译服务报酬。双方经过平等协商，在真实、充分地表达各自意愿的基础上，根据《中华人民共和国合同法》的规定，达成如下协议，并由双方共同恪守。

4.为确保乙方翻译服务能够达到甲方要求，在本合同签订时，乙方可应甲方书面要求进行试译，供双方核定并确认质量标准。如果甲方在收到试译稿后3日内未向乙方提出书面意见或建议，则该试译稿的质量标准将作为乙方今后的质量标准。

5.译文中不应出现技术性错误，不能与原文意思相悖，专业词语表述应准确一致;文字表述符合相关专业的表达习惯与要求，目标语言与源语言在行文风格上一致;符号、量和单位、公式和等式需按照译文的通常惯例或国家有关规定进行翻译或表达，译者的注释使用恰当;

6. 对于笔译项目，乙方在向甲方交付工作成果后，若存在以下三类错误，乙方应免费对工作 成果进行必要修改，并不得另行收费：

(1) 语法与单词拼写错误;

(2) 同一或同批稿件中前后用词或表达法不统一;

(3) 由于专业或背景知识不足发生的错误。

第三条 为保证乙方有效进行翻译服务工作，甲方应当向乙方提供下列工作条件和 协作事项：

1.甲方委托乙方翻译或进行其它方式处理的文件或资料中不得有违反国家法律或社会公德的内容，如果出现此种情形，甲方应承担相关责任并保证乙方不会因此而蒙受任何损失。否则乙方有权拒绝接受委托或要求甲方改正或有权随时单方解除本协议，并由甲方承担违约 责任;

2. 甲方同意把技术资料电子稿或复印资料作为乙方的工作件提供翻译使用，保证提供待译资料图文清晰、内容完整，乙方应保证维持甲方提供资料的原始完整性;

3. 为保证翻译质量，甲方应尽可能协助乙方，包括但不限于向乙方提供翻译项目所需的参考资料，专业的固有、惯用译法，解答相关技术问题，必要时提供相关背景知识培训。

第四条 甲方向乙方支付翻译服务报酬及支付方式为：

1. 翻译服务费：

(1) 笔译项目为外文译成中文的，下订单时计算的费用为估算，最终以甲方采用的译文版 本中文字符数为依据计算实际费用。

(2) 以甲方最后采用的译文版本为最终确定稿计算字符数，以电脑统计的中文字符数计算

[word—工具—字数统计—字符数(不计空格)]。如果中文稿为纸件，则以经双方确认的不计空格的中文字符数为准。翻译项目不涉及中文的，统计方式双方另行约定。

(3) 本合同服务费用按以上单价标准，以甲方订单要求的服务工作量计算。如翻译项目有特 殊情况需要调整价格的，经甲乙双方协商一致后在订单中明确。

(4) 乙方因履行本合同而产生的加急费、特殊排版费、差旅费、交通费、食宿费等费用经甲 乙双方协商一致后在订单中明确。

2. 翻译服务费由甲方选择以下方式支付乙方。(根据协商确定的交易方式)

方式a.在双方签订本合同及订单后二个工作日内，甲方应当支付乙方费用总额的50%作为预付款，余款在乙方完成翻译服务后五个工作日内支付。支付可采用现金、支票或银行 转账等方式。

方式b. 甲方提交翻译服务订单的次月，向乙方全额支付上月的文件翻译服务费。 乙方开户银行名称、地址和账号为：

第五条 双方确定因履行本合同应遵守的保密义务如下：

1. 保密内容：

乙方同意所有甲方披露的资料都归甲方专有。乙方正在翻译的和已译好的文稿的专利 权、版权、商业秘密，或其他知识产权项下的权利属于甲方所有，乙方无权处置;乙方对甲方向第三方承诺的所有保密义务负有连带责任，即如果甲方因乙方泄密而被第三方追究责任，甲方将追究乙方责任。乙方需执行甲方相关规定并积极配合，采取必要的防范措施来防止保密信息的泄露。 2.涉密人员范围：项目管理员、翻译人员及其他接触此项目资料的所有工作人员。

第十条双方确定，在本合同有效期内，甲方指定 为甲方项目联系人，乙方指定为乙方项目联系人。项目联系人承担以下责任：

1. 及时、定时沟通情况、协调处理有关问题;

2. 及时、定时向各自部门传递相关信息，保证信息的完整与准确;

3. 本合同第五条约定的保密责任;

一方变更项目联系人的，应当及时以书面形式通知另一方。未及时通知并影响本合同履行或造成损失的，应承担相应的责任。

1、调通gw19至3楼31交换机2m2条;

2、配置东邵一csm;

3、曲阜、泗水网关割接及iptrunk开通;

4、嘉祥、鱼台网关割接及iptrunk开通;

5、梁山、汶上iptrunk开通;

6、小灵通漫游信令链路配置;

7、漫游业务局号、终端号配置;

8、漫游业务的测试，包括朗讯4地市、中兴5地市;

9、处理电话信息中心传来的气象预定扣费;

三、障碍处理

1、gw1—21lstp一linkdown，经过检查，发现存在复接线，将复接线拆除后恢复正常;

2、_月3日，市电供电中断，二楼机房多处pdp出现告警，消除告警后，检查各服务器状态均正常，gw各相关项检查正常，但gw5至21局一电路阻塞，对该电路进行阻塞/解除阻塞无效，硬阻断/恢复仍无效，通知冯殿营在对端重起电路后恢复正常;

3、处理31局阿尔卡特/中心adsl端口故障5起;

4、兖州一控制器csc8-37连接不上，该控制器下无法打电话，检查为第一个2m不稳定，为二楼至五楼交接处断所致，重新绕线后恢复;

5、小灵通自动停开机吊死，重起isap进程恢复;

6、处理鱼台小灵通gw1至鱼台ewsd不通故障，为期间2条2m交叉所致，更正后恢复;

7、鱼台预付费用户交费后仍提示欠费停机，切换网关恢复;

8、处理嘉祥csc14-31故障一起，网管正常，但无法打电话，为信令吊死，重起后恢复;

9、处理嘉祥csc14-34、csc14-38两控制器故障，为复接线引起电路不稳定所致，拆除复接线后恢复;

10、处理4993766不能拨打4869702固话故障;

11、鱼台部分ss7电路阻塞处理，为tpc板异常所致;

12、鱼台控制器csc1-4出现不能连接故障，为gw2m端口故障，硬阻再解除后恢复;

13、pcjig不能正常连接，致使营业不能正常烧号，重启dbcache后恢复正常;

14、oss营业界面无法营业受理，重起apache进程恢复;

15、处理gw13至31lstp一link故障，本端各种措施无效后通知对端，由对端重起处理后回复，经过多次类似事件后，由对端更换端口后恢复正常;

16、处理邹城gw3至邹城c08机2各2m，至邹城s1240一个2m阻塞故障，本端测试正常，由传输处理发现误码较高，软环后故障消失;

17、处理大客户电路不通，为21局中继架间线缆松动。

FOR THE BUYERSECTION 214 FOB/FAS TERMS14.1 The shipping space for the contracted goods shall be booked by the Buyer or the Buyer’s shipping agent __________.

14.2 Under FOB terms,the Seller shall undertake to load the contracted goods on board the vessel nominated by the Buyer on any date notified by the Buyer, within the time of shipment as stipulated in Clause 8 of this Contract.

14.3 Under FAS terms,the Seller shallundertake to deliver the contracted goods under the tackle of the vessel nominated by the Buyer on any date notified by the Buyer, within the time of shipment as stipulated in Clause 8 of this Contract.

14.4 10-15 days prior to the date of shipment, the Buyer shall inform the Seller by cable or telex of the contract number, name of vessel,ETA of vessel, quantity to be loaded and the name of shipping agent, so as to enable the Seller to contact the shipping agent direct and arrange the shipment of the goods. The Seller shall advise by cable or telex in time the Buyer of the result thereof. Should, for certain reasons,it become necessary for the Buyer to replace the named vessel with another one,or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Seller, the Buyer or its shipping agent shall advise the Seller to this effect in due time.
