第一条 代理事项

1.1 乙方委托甲方，由甲方代理乙方办理_________地区的国际航线、地区航线的航空货物国际运输业务。

1.1所述的委托与代理是一个广义的范围;不能理解为一旦乙方委托甲方从事个案航空货物国际运输业务，甲方就事实上成为乙方的货运代理人。

1.3 乙方对个案的航空货物国际运输业务的委托，必须依照本协议

第二条的规定单独签发委托书。

第二条 职责范围

2.1对于个案的国际货物出口运输事务，乙方应当正确无误地，真实地制作委托书(该委托书的内容包括出口货物的件数、重量、体积、目的港、出运品名、要求航班、出运价格等要素)，并送交或传真给甲方。如果甲方收到的委托书缺少上述括号内的要求，除非乙方另行书面甲方，否则视为乙方授权甲方补记。对该甲方补记的内容，乙方应予以承认。

2.2 乙方交给甲方货物的运输标志(唛头)必须有以下内容：收货人代号、参考号码(如：合同号、发票号等)、目的地名称、件数号码。

2.3乙方在提供货物的同时，应提供有关出口的报关文件。该文件应根据不同的贸易性质提供以下的相应单证，包括：报关单、报关委托书、发票、装箱单、核销单、配额、许可证、手册、合同、进口报关副本、协议书及国家有关批文等。

2.4 乙方送交或传真的委托书应有乙方的印章或有业务人员的签名。如委托书上没有印章或签名的、甲方有权拒收委托书。

2.5甲方对乙方送交货物的空运出口业务，应及时承办收货、出口订舱、制单、报关、报验、装板、交接等整套手续。甲方应按乙方提供的委托书以及补记内容或相应的书面补正材料正确地制作运单，根据乙方的一切定妥航班。当乙方有要求时，甲方应及时通知乙方已定妥的航班信息及出运航班信息，以及主、分运单号、板箱号。货物出运后，甲方将有关单证及文件返回乙方，乙方在没有相反证据的前提下，运单视为甲方代乙方或乙方客户填制。甲方如认为乙方可能不依照协议的规定如期支付运杂费，甲方有权利暂扣有关单证及文件。

2.6 甲、乙双方在办理国际货运业务中，必须遵守我国以及过境国或地区、到达国或地区政府的法令等有关规定。

2.7乙方保证在所出运的货物中不夹带易燃、易爆等物品及国家禁止出口的物品。甲方不受理危险品(包括不明化学物质的化学物品)、贵重物品、尸体、骨灰和活动物。其他有特殊要求的货物，按航空公司有关条例办理。

2.8 乙方在货物出运中要求预付改为到付、到付改为预付的，应在航班到达目的港前10小时通知甲方。如货物在目的港被提取，甲方对此不负责任。

2.9 乙方在货物出运后因修改运单中有关项目或变更对货物的处置方式，要求甲方代发电报通知有关承运人的，由此产生的费用由乙方承担。

2.10 双方对货物的收运要求：乙方送甲方仓库的货物，如有破损、受潮、严重变形等，甲方有权不予接受。

2.11 乙方发出委托后，甲方已定妥舱位，乙方要求撤消委托的，乙方除承担本协议规定的义务外，应承担由于撤消委托行为而引起的甲方经济损失。

经过平等、友好协商，甲、乙双方就 空运货物出口运输事宜，于________年____月____日签订如下协议：

(一) 委托事项

甲方接受乙方委托，承接乙方委托的空运出口运输业务。乙方指定甲方作为其代理人，代为安排提货、办理出口报关和出口商品检验检疫等事务。

(二) 乙方应在每票货物出运之前五个工作日以书面形式(包括信函、传真、电报、电传)向甲方提交《出口运输委托书》(简称“委托书”或“托单”)。

“委托书”应包括但不限于以下内容：

托运人(e)名称、姓名、地址、联系付款;

收货人(cgee)名称、姓名、地址、联系付款;

通知方名称、姓名、地址、联系付款;

航班号、日期、始发港、目的港;

货物品名、件数、重量、体积、声明价值;

运费及其它费用的标准和支付方式;

托运人的签名、盖章、日期。

1、甲方原则同意成品仓、干燥筒、配料器、粉料罐、等设备(共_________件)交由乙方承运搬运。乙方接到甲方通知后，吊、运车辆应3日内进入甲方指定场地，乙方吊车进场后所有设备的吊卸工作由乙方承担。

2、甲方拟将设备的上述工作的吊车，运输板车的使用费一次性包给乙方。

3、为促使乙方积极配合、尽快将设备拉出工地，双方约定，甲方出一定数额协调费给乙方，而乙方不管遇到多大困难，也不管延续时间多久，乙方都必须尽最大努力，以最快速度把设备装上车，把自己承运的货物运出拆卸现场。基于上述乙方额外承担的责任，甲方给乙方协调费，总共_________元(大写：_________元)。

4、乙方装货拉出拆卸现场之后保证在_________天之内运至甲方卸货工地。

8、吊车、板车及货车费用与支付

(1)乙方承担人员、运输费用总和为_________元(大写：______________)。

根据国家有关运输规定，经过甲乙双方充分协商，就乙方向甲方提供封闭厢式货车、普通货车运输服务事宜达成一致，特订立本合同，以便双方共同遵守。

服务内容：

乙方向甲方提供封闭厢式货车、普通货车，车牌为__________。用于全国区域和市内配送甲方部分货物运输，按照规定路线行驶。

第二条、结算方式

第三条、甲方的义务

1、按照约定的时间准备好货物，确保托运货物符合国家法规。

2、负责货物包装，并确保包装符合要求。

3、负责货物的装卸工作。

4、负责押车元的工资、保险。

5、根据合同规定，按时支付工资、汽车租赁费用。

第四条、乙方的义务

1、确保运输车辆手续合法，车容整洁，货箱卫生。

2、乙方向甲方保证按约定使用车辆。

3、保证每辆车车辆保险为50万。

4、确保司机手机24小时开机，并保证司机及时回复甲方信息追踪人员的查询。

5、未经甲方同意不得擅自倒货、换车、配载。如车辆途中发生意外，应及时调配其他车辆完成货物运送任务。

6、保守甲方的商业机密，不得对甲方客户进行业务接触。

7、乙方要确保司机服从甲方指派人员的指挥。

8、如果发生意外情况造成货物损坏、丢失或可能晚到等情况，要在10分钟内通知甲方。

第五条、违约责任

1、甲乙双方不认真履行上述义务，造成经济损失的，除下列约定外，违约方要承担应付汽车租赁费用100%的违约责任。

2、甲方不按时支付汽车租赁费用的每增加一天支付应付汽车租赁费用1%的滞纳金，但甲方如遇特殊情况除外。

3、在乙方验货签收至甲方收货签收前，如发生货物丢失、损坏、变质和污染的，乙方按货物实际损失的价值赔偿甲方。若不赔偿，甲方有权用应支付乙方的汽车租赁费用抵扣。

4、乙方如不能按约定提供车辆使用，甲方另外租用车辆费用由乙方全额承担。

5、由于乙方责任导致货物晚到，应赔偿甲方部分经济损失。每辆车辆故障造成的扣罚500元/趟，如无车辆故障认为或操作不当造成延误扣罚元/趟。

第六条、合同的变更与解除

合同自签订起生效，甲乙双方若解除合同应提前30天通知对方。如遇国家政策发生变化或不可抗力因素，需要变更或中止合同的由甲乙双方协商解决。本合同在履行过程发生纠纷应协商解决，协商不成进行仲裁。

甲、乙双方本着自愿平等、互惠互利的原则，经友好协商，签订本合同。

一、乙方自行组织船只，从事国内运输业务。

三、装船期及载货量：

采取分批承(发)运，甲方每月 5 日前下达下月发货计划，乙方于每月 10 日前确认承运计划。

四、发货人、收货人及运费率见附件，乙方不承担货物装卸费用。

五、数据与交接：

货物数量以发货人发货单据为准。乙方必须加强现场监装、监卸工作，确保货物的交货数量。

六、乙方确保船舶处于适运状态，适于收受、载运和保管货物，若装货前发现船舶不符合装卸要求，甲方有权不装货，乙方所派船舶到甲方，甲方必须安排五小时内装货。

七、运达期限：在正常的情况下，乙方必须保证货物装船完毕后，在合理期限内及时将货物保质、保量运达收货人指定地点。

八、结算与付款：

按发货人发货单结算运费，如由于非不可抗力因素导致甲方货物受损或灭失或掺杂等影响货物品质的情况，乙方应承担全部赔偿责任并由甲方扣除相应运费。每月上旬，乙方提供收货人货物交接清单，凭运输发票结算或当地税务机关代开的发票，每月 25 日前结算。甲方按乙方提供的账户汇款，如因账户性质及其他原因不能收到运费，所产生的法律纠纷由乙方承担或现金结算。

九、保险：乙方负责办理船舶保险。

十、税收及费用：涉及货物的税、费由甲方承担，涉及船舶及运费的税、费由乙方承担。

十一、违约责任：

1、在货物的装卸、运输过程中，如由于非不可抗力因素导致甲方货物受损.

2、乙方因超载或故障等原因，要求减载或转载才能交货的发生的过载、转运等费用和货物亏吨由乙方承担。

3、乙方船舶发生计少包，由乙方赔偿少包损失并承担亏吨运费。

十二、特约事项：

乙方船舶必须具备良好的盖船设施，货物装妥后及时盖船，并确保货物在运输过程中处于密封状态。

乙方必须提供船舶保险单，营运证，船舶所有权证书，航行证书等复印件，并加盖公章，保证内容真实、清晰。

乙方必须服从甲方因生产、销售需要而对船只进行的调度安排，不得违反仓库安全生产管理规定。

乙方船舶如违反上述条款及本合同“第十二条”规定，造成损失或不良影响，乙方除赔偿损失外，甲方有权解除合同。
