(1)、乙方须按附表1要求向甲方提供符合要求的产品、产品为全新产品，包装完好，不得以任何理由以次充好，否则必须予以更换，产生的费用由乙方承担。

(2)、在签订合同后，乙方按照合同设计要求负责设备安装、调试，做到布局合理，布线规范，便于使用及维护，符合有关技术标准。未经对方同意，任何一方不得随意更改方案。因更改方案造成的损失由提出方负责。

4、 技术标准及质量保证

(1)、布线标准：乙方监控系统布线施工，严格遵照国家《民用闭路监控电视系统技术规范》GB50198-94。

(2)、乙方所供设备均以生产厂家提供的产品技术资料为技术标准。

(3)、乙方保证本项目所供产品均为合同中指定的产品，且包装为原包装。产品进场时，甲方安排专人当面验收后，乙方方能进行施工。

(4)、乙方对监控布线及要求见附件2(监控工程施工图)和附件3(监控工程施工说明)。

5、 工程项目建设期限

(1)、甲方预付款到乙方指定账户 日内进场施工，整个施工工期 天(以通过用户及甲方代表验收合格为准)。

(2)、在履约过程中，因为变更设计所影响的工期、甲方责任、不可抗力等造成工期延期的，经甲、乙双方签字认可后作出工期调整，以此确定竣工日期。

6、 售后服务

(1)、乙方所提供合同内设备，从验收之日起，所有产品及零配件质保期 年。在质保期内，若有产品质量问题，由乙方负责免费更换或维修。质保期满后，设备维修时，乙方按成本费计算。

(2)、凡由产品质量问题引起的各类故障，乙方在接到甲方故障报修通知后，在一个工作日内响应， 个工作日内解决故障，若在 个工作日内不能排除故障的，则应由乙方提供备用产品。

(3)、甲方要求软硬件功能的改进、扩容不在保修之列，但乙方应继续为客户提供最优惠的服务。免费维修期内人为或自然灾害引起的故障或损坏，仅收取维修成本费。以下情况不属保修范围：自行拆卸改换机内任何部分(如：线路、零件)后造成损坏;非乙方指定的专业技术人员指导安装而引起的故障。

(4)、乙方向甲方免费培训1-2名设备操作管理人员，要求达到能正确使用与维护本合同的设施、设备。

7、 竣工验收及付款方式

(1)、竣工验收：

工程施工安装、调试完毕，由乙方通知甲方组织验收，并提供相应完整的验收资料。甲方在收到验收通知 个工作日内，完成工程验收。甲方在收到验收通知后，超过 个 工作日，拖延不验收视为工程验收合格。

(2)、付款方式：

①、合同签定后，甲方向乙方支付合同总额的 %作为预付款;

②、设备入场，工程施工中管线完成时，甲方向乙方支付到合同总额的 %。 ③、设备完成调试，甲方验收合格后的 工作日内，甲方向乙方支付到合同总额的 %。

④、合同总额 %作为质保金，在设备交付甲方使用 月后，甲方向乙方一次性支付完毕。

8、 双方责任：

(1)、甲方责任：

①、审核乙方提供的设计方案、安装施工方案，在收到后的 日内完成。

②、向乙方提供必要的场地及施工用电。

③、按工程进度向乙方支付合同款项。

④、委派 为现场管理代表，监督、检查工程质量、进度，处理并协调甲乙双方在施工中发生的有关事宜。

⑤、组织人员对设备、工程竣工进行验收和办理竣工结算。

(2)、乙方责任：

①、按施工安全规范做好施工质量、安全管理，凡施工期间发生的施工质量、安全事故，均由乙方负责并报告甲方及有关部门。

②、施工中因乙方责任造成的停工、返工、材料、器材损失等均由乙方承担。所有设备和器材验收前均由乙方妥善保管，如有损坏和遗失均由乙方负责。

③、对竣工验收后保修期内发现的施工质量问题负责免费返修。

④、对现场所有已完工的建筑及建筑装修、设备、器具有保护的责任，施工时如损坏甲方财产，由乙方负责赔偿。

⑤、遵守甲方有关场地管理的规定并办理有关的手续。

9、 约定事项

(1)、双方签订认可的设计施工方案及其它经双方签字确认的书面材料均为本合同的组成部份，与本合同具同等效力。

(2)、甲乙双方施工、设计方案以外的所有变更或要求必须致函对方，对方在收到通知后必须及时回函，如果 日内不答复视为认可。

10、违约责任

(1)、乙方必须严格按合同要求按时、按质(即合同要求的设备的规格、型号)、按量完成供货与安装调试完毕并交付甲方使用，并按合同要求提供售后服务，如有违约，每违约一天，按合同总金额的0.1%向甲方支付违约金，由此造成的损失由乙方负责。

(2)、在乙方履行合同后，甲方保证按时向乙方支付合同款项，如有违约，每违约一天，按合同总金额的0.1%向乙方支付违约金，若违约超过30天，乙方有权撤除设备。因款延误造成的工期延误或因设备撤除造成的损失，由甲方负责。

11、其它

(1)、合同执行中发生纠纷，甲乙双方应协商解决。若协商不成，任何一方可以向当地人民法院提起诉讼。

(2)、本合同一式 份，甲乙双方各执 份。未尽事宜，由甲乙双方友好协商解决。

(3)、本合同经双方法定代表人或其授权的代表签字，加盖双方公章后之日生效。保修期届满结清余款后，合同效力终止。

山，远远近近、大大小小，总是矗立在我们面前。

这世上有各种各样的山———有有形的山，也有无形的山。生活中我们常遇到的是一些无形的山。

学习是一座山，工作是一座山，交际是一座山，而伴随之而来的孤独、失落、寂寞、敏感、嫉恨、任性、歧视、抑郁、悲愤、气馁和一蹶不振又是一道道伫立在我们面前，需要勇于去攀越的另一座山。如果失去了生活的勇气和自信，这些可怕的山就会接踵而至、连绵不断地阻挡在面前，让你举步维艰。而在这些山中最可怕的还数心中那座充满悲愤、嫉恨和恐惧的山。

山无坦途。不论这世上是那样的山，都充满着很多的险象和难堪。

善于爬山的人从不怕山有多高，路有多险，向着既定的目标奋勇前进，不犹豫，不气馁、不退缩。虽知高处不胜寒，却偏要在风寒之中寻伟岸。心里怀有一个坚定的信念，即使再高再陡的山也阻挡不了他前进的步迈。而对于那些不善于登山的人来说，他们不知道无限风光在山巅，更不懂得伫立在云端“一览众山小”的壮观。遇到困难就逃避和妥协，这些人生活中常常会遇到比别人更多的山，而且一山要比一山高，攀登起来一山更比一山难。山本来就是弱者的屏障，强者的伟岸。

登山也不总是件寂寞的事。会登山的人视登山为一种乐事，一边登山，一边欣赏路边的风景，他感受到的更多的是登山途中无尽的欢乐。而不会登山的人，只为登山而登山，他把登山看成了人生途中一种人与人之间无味的比拼和追逐。这些人虽然也爬过了不少的山，但到头来心中却没留下一座完整而壮美的山。

山是人生途中一道必须要坚定走下去的路———有些山路是前人走过的，有些山路是需要后来者开辟的。最有意义的登山就是视其为一次旅行，勇敢而自信地去攀登、自由而快乐地去游览。
