1.根据本协议，版权所有者授予出版者以自己的名义，以图书形式(简/精装)翻译、制作、出版该作品中文(简体)版(以下简称翻译本)的专有权，限在中华人民共和国大陆发行，不包括香港和澳门。未经版权所有者的书面同意，出版者不能复制版权所有者对该作品的封面设计，也不能使用版权所有者的标识、商标或版权页。本协议授予的权利不及于该作品的其他后续版本。

2.出版者要按照本合同第18条的规定向版权所有者支付下列款项，即：

(1)合同签订之时支付根据本合同应当支付给版权所有者的预付金_________元。如果在该协议履行期间，出版者有任何过错，这笔预付款不予退还。

(2)出版者根据中国图书定价对所有销售图书支付版税：①销售_________千册，版税为_________%;②销售_________千册至_________千册，版税为_________%;③销售超过_________千册，版税为_________%。

(3)对于出版者以成本价或低于成本价销售的库存翻译本，无需支付版税;但是在该翻译本首次出版后两年内不得廉价销售此类库存书。

3.至版权所有者收到第2条所列款项，本协议生效。

4.出版者将负责安排一位合格的翻译者，保证准确无误翻译该作品，并将译者的名字和资历报告给版权所有者。未得到版权所有者的书面同意之前，不得对作品进行省略、修改或增加。版权所有者保留要求出版者提交译稿样本的权利，在其同意后，出版者方可印刷。

5.如需要，翻译本出版者应取得原作品中第三方控制的版权资料的使用许可，并应当为这些许可或权利支付费用。直到版权所有者收到出版者书面确认--出版者获得了许可，版权所有者才会向出版者提供生产资料用于复制该作品中包含的插图。

6.出版者应确保翻译本的印刷、纸张和装帧质量，尽可能达到最高标准。

7.出版者所有翻译本的封面、书脊、护封(如果有的话)和扉页上都必须醒目的印上作者的姓名，并在扉页背面注明下列版权声明：_________(原书版权详细信息)以及下列声明：_________。出版者也将对翻译文本进行版权声明。

8.翻译本出版后，出版者应向版权所有者提供_________本免费样书，并说明该翻译本的实际出版日期和定价。

9.如果出版者未能在_________日前出版该翻译本，该合同中的所有授权将由版权所有者收回，而不影响出版者向版权所有者支付的或应付的任何款项。

当翻译本已绝版或市场上已脱销，出版者在接到版权所有者再印的书面通知后，6个月内仍未再印，版权所有者将有权终止合同，该合同中的所有授权将由版权所有者收回，而不影响出版者向版权所有者支付的或应付的任何款项。

10.未事先征得版权所有者的书面同意，出版者不能处分该翻译本的任何附属权利。

11.每年_________日前，出版者对翻译本的销售结算一次/两次，并自结算之日3个月内付清按合同应支付的款项。结算报告包括：

(1)在本会计年度初期若有库存，其具体册数;

(2)本会计年度内印刷的册数;

(3)本会计年度内销售的册数;

(4)本会计年度内免费赠送的样书的册数;

(5)本会计年度末库存册数。翻译版权许可合同由精品信息网整理！

销售结算与版税要按照本合同第18条支付。如果本合同规定的任何款项逾期3个月未付，本合同许可的所有权利立刻丧失，所有转让的权利自动收归版权所有者，无需另行通知。

12.未事先通知版权所有者并征得其书面同意，出版者不得自行重印该译本。

13.版权所有者应向出版者保证其有权利和能力签订本合同，根据_________国法律该作品决不会侵害任何现存版权，或违背任何现存协议，该作品中不含有任何内容会引起刑事或民事纠纷造成损失，否则因此而给出版者造成的损失、伤害或开支，版权所有者应给予赔偿。

14.未得到版权所有者书面同意之前，出版者不得将所获得的版权许可转让或惠及他人，也不能以出版者以外的任何名义出版该翻译本。

15.除本合同中明确授予出版者的权利外，该作品的其他所有权利由版权所有者保留。

16.出版者应将翻译本的详细情况向中国国家版权局登记以得到正式批准，在中华人民共和国范围内依相应法规尽一切努力保护翻译本的版权。出版者还同意对侵犯翻译本版权的任何个人或组织提起诉讼，费用自理。
