根据《中华人民共和国民法典》和有关法律法规的规定，甲乙双方本着诚实信用，互惠互利原则，经协商一致，特签订本协议。

一、合作事项、合作期限

1、甲方推行“独立经纪人合作制”的经营模式，即甲方与乙方由传统的雇佣关系改变为合作关系，乙方可自愿申请解除劳动关系，办理离职手续后，再与公司签订合作协议，而工资由原来底薪加提成的模式，改为无底薪高提成的激励机制。

2、乙方以独立经纪人身份与甲方合作。乙方使用甲方办公场所、电脑网络、电话等办公条件及楼盘资源、客户资源等信息资源，并以甲方名义开展房地产经纪及一切相关业务。

3、甲乙双方约定合作期限自本协议签订之日起____年为限。

二、分成计算、给付方式、给付时间

1、甲乙双方约定每笔成交单实际收到佣金扣除非本人盘源方、钥匙方、合作方、按揭费等其他分佣后所剩佣金为乙方个人实收佣金(以下简称实收佣金)。

三、甲方的权利和义务

1、甲方免费为乙方提供开展业务的办公场所、电脑网络、电话等办公条件及楼盘资源、客户资源等信息资源(不提供笔、本、计算器、等日常个人办公用品)。

2、甲方根据乙方需要组织开展房地产经纪及相关业务知识培训，甲方有义务为乙方办理当地政府部门所要求的经纪人资格认证报考、培训、发证等事宜，相关费用由乙方承担。

3、在条件允许的情况下，甲方应积极为乙方提供一切广告、信息资源支持，并协助乙方开展业务。

4、甲方有权随时了解乙方业务进展情况，并要求乙方随时汇报。

5、甲方有权干预、阻止乙方违反甲方业务操作流程、服务标准的行为，并对所造成损失要求乙方赔偿。

四、乙方的权利和义务

1、乙方在合同期间所获得所有客户、楼盘信息等资源均须登记在甲方资源管理系统或登记本(册)上，并按甲方规定享有所登记楼盘、客户资源成交后的分佣。

2、乙方进行业务时必须遵守甲方有关规定及客户服务标准。

3、乙方开展业务时不能做出有损甲方品牌形象和声誉的行为，并在进行业务时不得有损害客户及甲方利益的行为，不得吃差价，因前述情形给甲方带来的品牌形象损害和经济损失，甲方有权要求乙方赔偿，并有权从分成中扣除。

4、乙方在甲方所接受的培训内容及讲义、内部文件、内部规章制度、乙方进行业务时所使用、获知的所有客户、楼盘等信息资源均为甲方机密，不得以任何形式泄露，未经甲方书面许可不得提供给第三人及用于其它任何用途。

5、乙方须遵守甲方管理制度及相关规定。甲方制定的规定和限制，与本协议内容不一致的，乙方可提出书面异议，否则视为同意，双方不另行签订协议。

6、乙方所成交售单过户按揭手续须在甲方服务部门或指定合作机构办理，未经甲方书面许可私自找外部机构办理的，甲方有权扣除乙方该单所有收益，如因甲方服务部门或指定合作机构过错造成该单产生纠纷的，由甲方服务部门或甲方指定合作机构承担损失。

五、协议变更、终止、违约责任

1、合作期限内如乙方未经许可私自收取红包、好处费、佣金等，甲方有权单方终止协议，并扣发乙方所有未支付分成及预留保证金作为违约金。

2、乙方如因违规操作被办公地点所在地政府管理部门通报或处罚，则本协议自行终止。

3、乙方因违反甲方制度规定，使甲方受到损害的，甲方有权单方终止本协议。

4、乙方因故连续____天(含)以上无法开展业务，未向甲方管理人员通报，甲方有权单方终止本协议，并暂停发放所有未发放分成，直至交接清楚后予以发放。

5、合作期限内如需变更协议内容由双方协商确定。因不可抗力的原因，使协议无法完全履行或部分无法履行，经双方协商，可以变更、修改或终止本协议。

6、合作期间内甲乙双方不得擅自变更或解除本协议，如需单方终止，由一方提前____个工作日书面通知另一方，双方交接完毕则终止协议。

六、其它的约定

1、甲乙双方不因本协议而存在劳动关系，乙方自行承担各项社保福利费用及按国家规定应缴的个人所得税。

2、合作期间因任何一切的违法违规行为给第三人造成损失的，由过错方自行承担。

3、对交易中出现的合同纠纷，甲方有义务提供法律咨询服务及帮助，但因乙方过错导致的，乙方应承担由此带来的损失;对于合作期间发生的诉讼案件，由过错方承担诉讼费用及损害赔偿;因第三人的行为损害甲乙双方利益的，由甲乙双方平摊诉讼费。

第二条陈述与保证

1、甲方陈述与保证

(1)转让给乙方的股权是甲方在目标公司的真实出资，是甲方合法拥有的股权，且具有完全的处分权。

该股权未被人民法院冻结、拍卖，没有设置任何抵押、质押、担保或存在其他可能影响乙方利益的瑕疵。

第三条股权的过户及费用负担风险提示：

股权转让合同的履行是一个比较复杂、周期性长的过程，签定好股权转让合同后，还要进行股权的转移和股权转让款的支付，而且后续还要变更股东名册，修改公司章程，变更工商登记等。

所以在股权转让协议不仅要在文字上明确、内容上完整，而且要切实保证能够履行。

在协议中应将权利义务细化，涵盖法定的程序及个性化的约定，并落实到某一方身上真正具有可操作性，不能在履行主体上发生争议，导致权责不分。

1、股权过户甲乙双方应于甲方收到全部转让款后 个工作日内共同到工商行政管理机关办理转让股权的过户手续及法定代表人的变更手续。

第五条保密条款

1、甲、乙双方承诺并同意本协议书涉及交易为机密，各方不向任何本协议当事方以外的第三方泄漏，除非出于法律或政府机关要求。

2、甲乙双方将在本次股权交易中获得的信息、资料作为机密信息，各方将保护这些机密信息，不复制和使用这些信息，除非为完成本次交易需要或出于法律、政府机关要求。

第六条违约责任
