this agreement of interior design made this date of between a (hereinafter called "the client" which expression includes their legal representatives, successors in title an assigns) of the one part and b practicing as design consultant at c (hereinafter called “the designer" which expression includes his/legal representatives, successors in titles and permitted assigns) of the other part.

whereas the client intends to construct and complete. (hereinafter called the project);and whereas the client is desirous of appointing the designer to provide professional design services for the project on the terms and conditions hereinafter appearing

it is hereby agreed between the parties hereto as follows:

本设计协议由甲方(客户)和乙方(设计顾问)及丙方(设计公司)于 日签订。

鉴于客户意欲建设并完成本工程;鉴于客户愿意指定设计公司依照以下条款为本工程提供专业设计服务。

因此，双方达成协议如下：

1.0 scope of work 服务范围

1.1 interior layout and spatial re-planning of all areas.

1.2 interior design conceptualization and design implementation.

1.3 interior finishes advice, specification and implementation.

2.0 exclusions 除外方面

2.1 areas not included in the design consultant’s scope of work are external building works, civil and structural engineering, external landscape, mechanical and electrical engineering, plumbing & air conditioning engineering, quantity surveying & computer 3d animation.

不包含在设计咨询服务范围的领域是室外建造工程，土木及结构工程，外部景观，机电工程，水暖和空调系统工程，工料测量和电脑三维动画。

2.2 while the scope of works includes supervision and installation, it does not cover the maintenance or defects liability period following the award of the ‘practical completion certificate’ to the contractor if any.

2.3 while the designer will provide intent drawings of typical finishes and fixtures, all shop drawings for specialists tradesmen and propriety systems or products must be submitted by the respective sub contractors appointed for this project. they may include:

3.0 fees 费用

the fee for the conceptual design phase through project construction phase shall be charged based on unit rate us dollar per square foot and designable area of square foot. the lump sum of us dollars: dollars only (excluding any local governing withholding taxes). the fee shall be payable by the client as addressed below in the payment schedule.

4.0 terms of payment 支付条款

4.1 payments are due and payable upon presentation of the design consultant’s invoice upon certifying of fees according to paragraph 3.2. an interest of 1% shall be charged on delinquent payments past 30 days.

4.2 payments during construction phase shall be made monthly, in proportion to the length of the construction period as define in the work program chart.

4.3 payments for additional services and for reimbursable expenses shall be made monthly upon presentation of design consultants statement of services rendered, or expenses incurred.

5.0 definition of services 服务的定义

5.1 conceptual design phase 概念性设计阶段

understanding of client’s need and formulation of concept design for client’s approval. includes advising of the need for authority submissions and additional consultants where appropriate. concept illustrations will be prepared for the client’s understanding of the design intent. no detailing is done at this stage. subsequent changes after the approval of concept design are deemed additional services and shall be chargeable according to paragraph 7.0 unless otherwise stated.

了解客户的需求，制作经客户同意的概念型设计。包括咨询相关管理当局和其他合适的咨询顾问的需求。概念插图是为客户理解设计意图而准备的。该阶段不进行任何细节设计。在客户批准概念性设计后的后续变更应该被视为额外的服务，应根据第7条收取相应款项，除非双方另有约定。

5.2 design development phase 深化设计阶段

development of the approved concept design for client’s approval. includes preparation of working drawings for construction, and selection of materials and finishes.

appointed consultants shall be coordinated to produce a complete design.

制定顾问应协调制作出一个完整的设计。

necessary detailing will be produced at this stage. 必要的细节设计将在该阶段完成。

project cost increment can be implemented at this stage if client desire for better quality material/finishes that is not provided for in the original budget or additional services.

该阶段客户可以要求获得质量比最初商谈提供或额外服务中约定的质量更好的材料或饰面，相应调增相关项目费用。

adjusted project fee shall propose by design consultant in the ‘fee amendment schedule’ upon client’s request for project fee increment.

the ‘fee amendment schedule’ shall supercede paragraph 3.2.changes requested by the client after the approval of production drawings are deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.

5.3 project documentation phase 项目文件阶段

preparation of all necessary technical specifications for the project.

all necessary design coordination with other consultants shall be completed by this stage.

relevant authority approval for commencement of work shall be awarded by this stage, when appropriate.

client shall be notified upon completion of this stage. 完成该阶段时应通知客户。

any changes requested by client at this stage shall be deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.

5.4 construction phase建设施工阶段

implementation of the approved design. 经批准同意的设计的实施

design consultant shall supervise site installation, review all selected materials in the approved documentation delivered to site, for size quality and conditions, and to reject materials that is not according to specification.

设计方应监督现场安装，检查所有批准文件中选定的被运至现场的材料，包括规格、质量和品质，拒收不符合规范的材料。

the design consultant shall provide final inspection and a practical completion certificate shall be awarded upon consultant’s satisfaction that all works has been completed accordance to approved drawings.

changes by client at this stage are considered additional services and shall be chargeable according to paragraph 7.0.

in addition, a delay fee shall be charged for additional cost of labour, overheads, warehousing, and material cost in accordance to the schedule in the specifications as the result of delays and cost incurred by such request.

6.0 amendment of approved drawings by design consultant

设计终稿的变更

6.1 the design consultant reserved the right to change approved design, detailing, materials, finishes and specification due to unforeseen circumstances that is not within the control of the design consultant. such changes shall be commuted to the client and no additional service charge shall be payable by the client. however additional cost incurred to labour and material shall be reimbursed by the client.

由于不可预见即设计方无法掌控的情况，设计方保留对设计终稿的设计、细节设计、材料、完成和规范的修改权。此等设计修改应减轻客户的义务，即客户无需就该等设计的修改向设计方支付额外的费用。但额外的人工费和材料费应由客户承担。

7.0 compensation for additional services 额外服务费用

7.1 for project representation beyond that is already mentioned, compensation shall be computed as follows: dollars per hour (s$100.00/hour)

对于上述提到的额外服务的补偿费，应按每小时 元计算

7.2 this service shall be approved by client in writing before the design consultant provides such services.

设计方在提供额外服务前应获得客户事先的书面许可。

7.3 in cases which design consultant wavered or lowered charges of additional services of a particular request, they are deemed one off provision of the subject matter concern, and do not render this paragraph void for subsequent request arising, even if they are similar requests.

除非设计方同意对某项特定的额外服务给予优惠或降低收费，否则他们对于每一特定主题的收费是单独收费，不会因为之后而来设计要求是相似的而放弃收取费用。

8.0 reimbursable expenses 可补偿费用

8.1 reimbursable expenses are in addition to compensation for basic and additional services. it shall include cost incurred by the design consultant and its employees in the interest of the project, as identified in the following clauses.

可补偿费用是指除基本和附加服务外的费用。包括设计方及其工作人员为了项目利益而发生的费用，具体由以下条款确认。

8.2 expenses for all travel related cost including business class airfares with singapore airlines or equivalent, 5 star hotel accommodation, surface transportation and luggage handling or courier services.

包含新加坡航空商务舱或其他等价机票、五星级酒店住宿费、地面交通费、包裹搬运费或快递服务费在内的相关差旅费。

8.3 expense for professional and perspective drawings and/or scale models at the request of the client, plus 10% handling charge.

客户要求的专业效果图纸和/或测绘模型的费用以及10%的手续费。

8.4 expense for courier services, postage and handling of drawings, specification and other documents.

快递服务费，图纸、说明书和其他相关文件的邮费及包装费

8.5 expense for colour prints or colour slides when requested by client.

8.6 professional fees and reimbursable expenses of supporting consultants.

辅助顾问的专业费用和可补偿费用。

8.7 documentation and lithography cost, and fees payable to authorities where relevant.

8.8 site staffs appointed and will act under the direction of the relevant consultants. client shall reimburse the consultant all expenses incurred by such appointment.

9.0 payment withheld 支付扣留

9.1 no deductions shall be made from design consultant’s compensation due to penalty, liquidated damages, or due to the cost of changes in the works other than those, which the design consultant has been found liable due to, be liable. the design consultant’s work shall be deemed to be complete upon the implementation of the work based on the approved working drawings under the design development phase.

以下费用不得被抵扣：(1)设计方由于罚金、违约金而获得的赔偿金;(2)除了被确认的由于设计方的责任而导致的设计变化而产生的费用。基于在设计开发阶段被批准的设计图纸开始施工时设计方的工作即被视为已完成。

10.0 damage or destruction of works 工程毁损

10.1 if at anytime before the completion of the project, the works, or equipment or any part thereof shall be damaged, or destroyed by operation of war, riot, civil commotion, natural catastrophe, or any other circumstances beyond the control of the design consultant, the client may require the design consultant to resume work on the project. the design consultant may do so upon notification in writing by the client. however, the remedial work and subsequent additional works relating to the project shall be subjected to a mutually agreed fee, before the work is resumed.

在项目竣工前的任何时间，如若发生由于战争，动乱，内乱，自然灾害或者其他任何不在设计方控制内的事件而导致工程、设备或者其他设施毁损灭失的，客户有权要求设计方重新开始工程的相关工作。设计方应当在收到客户的书面通知后开始工作。在工作重新开始前，双方应当确认好补救工作和随后的附加工作的具体费用。

11.0 care and diligence 谨慎勤勉义务

11.1 the design consultant shall exercise all skill, care and diligence, and shall discharge his obligations under appointment in accordance to sound professional practice.

设计方应该运用专业技能勤勉谨慎地履行合同，并且按照约定根据合理的专业实践履行义务。

12.0 termination 合同终止

12.1 the obligation to provide further services under this agreement may be terminated by either party upon 14 days written notice in the event of substantial failure by the other party to perform in accordance to the term through no fault of the terminating party.

如若发生导致合同实际履行不能的事件，一方在无过错的前提下提前14日书面通知另一方后合同义务即告终止。

12.2 the client upon may terminate this agreement not less than 14 days written notice to the design consultant in the event that the project is permanently abandoned. if the client abandons the project for 90 consecutive days, the design consultant may terminate the agreement by written notice.

如若工程被永久废弃，客户需提前14日书面通知设计方以终止合同。如果客户持续90日废弃该工程，设计方可书面通知终止合同。

12.3 the agreement may be terminated if either party commits a breach of agreement and fails to remedy within 14 days after the notification in writing specifying the breach and requiring its remedy.

一方违约后，另一方可以通知对方采取补救措施。违约方在收到对方的书面通知后14日内未能成功补救的，未违约方可以终止合同。

12.4 this contracts shall terminate with immediate effect if either party commits an act of bankruptcy of commerce proceeding of winding up (other than for reason of amalgamation or reconstruction of the company), or if an administrator, liquidator or receiver is appointed for the whole or part of the business of the party.

一方进入破产程序(公司合并或者重组除外)后，或者清算人或破产管理人被指派接管其全部或部分事务，本合同即告终止。

12.5 in the event of any termination, the design consultant shall be paid for all services rendered to the dated of termination, including any reimbursable expenses and termination expenses. the design consultant shall submit his account for the balance of payment with 30 days of termination. the client shall pay all outstanding fees within 30 days upon the receipt of the account. a monthly interest of 1% is chargeable if payment due to the design consultant is not received after 30 days upon issuance of the final account.

合同终止事由发生时，客户须支付设计方包括可补偿费用以及合同终止费用在内的合同终止前发生的所有服务费用。设计方须提交合同终止30日前的收支帐户明细。客户须支付30日内帐户中列明的应付未付款项。最终账户确认后30日内没有付清的，设计方有权按每月1%收取利息。

13.0 opinion of cost 成本建议

13.1 as the design consultant has no control over the cost of labor, materials, equipment or services furnished by others, as well as the contractor’s method of pricing, and/or market conditions. the preliminary estimates of construction cost are made on the basis of experience and qualifications; they represent the best judgement as experience professionals, familiar with the construction industry. however, the design consultant does not guarantee that such estimates will not vary from the actual construction cost, and, or fee of services quoted by the relevant party. services to modify contract documents to bring the construction cost within any limitation established by the client may be considered additional services and paid for as such by the client at a mutually agreed fee.

设计方不能控制由其他方提供的劳务、材料、设备和服务费用，以及施工方的定价方法和/或市场情况。初步的建设成本预估是基于经验和资历的，设计方熟悉建筑行业，代表有经验专业人员作出最好的判断。但是设计方并不确保其所做的预估一定与由相关方提供的实际的建筑成本或者服务费用相一致。在客户设立的限制下提供的修改施工成本合同文件服务将被视为附加服务，相关费用应以双方一致同意为准。

14.0 settlement of dispute 纠纷处理

本约定书的所有方面均应适用新加坡国的法律进行解释并受其约束。与本约定书有关的任何纠纷或争议，双方均可提交 进行仲裁;

all of the agreement shall be interpreted and governed by the laws of singapore. any disputes in connection with the agreement shall be settled through friendly negotiation. if negotiation fails, the disputes can be submitted to for arbitration.

内容：

本工程各子项的单位工程划分，已在下发给你们的《贵州化工氢氧化铝建设工程交工技术文件组卷编制办法》中有明确规定，今后每个单位工程开工都要向项目监理站和建设单位报送开工报告的系列文表，开工前的准备工作一般应包括下列内容：

1、施工组织设计(施工技术方案)已编制并审批;

2、开工所需要的施工图纸已到(白图应有业主签章)并交底会审;

一、 代理产品、区域、期限

1、代理产品名称：____________

3、代理期限：________年，自本协议签订之日起至________年____月____日止，合同期满后，双方满意可续约，在同等条件下，乙方有优先代理权。

二、 双方责任、权利

（一）甲方

1、自本协议签订之日起，乙方成为甲方在__________市场销售合法总代理商，甲方不得在乙方代____区域内另设总代理商。

2、甲方依照本份合同之约定管理乙方代____区域的经营活动，协助乙方做好区域内营销推广工作。

3、甲方保证乙方货款到账12小时内发出货品（特殊订货除外），并保证产品长期供应。

4、甲方提供相关的产品证书和文件资料等。

5、甲方保证产品质量，对产品实行三个月内包换，________年保修，终身维护的质保承诺。

6、甲方积极配合乙方进行销售人员的业务技能培训。

（二）乙方责任、权利

1、乙方应根据当地实际情况自行完善经营甲方产品的各项手续。

2、乙方在授权区域内依法经营，认真负责地完成甲方授权代理事项，做好销售工作，因乙方不依法经营，违反代理协议书而造成的一切经济损失，由乙方承担。

3、乙方必须贯彻，融汇甲方营销理念，接受甲方的业务培训，服从甲方的营销指导及考核。

4、乙方必须具备一批高素质的销售人员，在所属区域内，建立自己的销售网络，与甲方同时进行网络化经营，并经常性，有针对性开展一系列的促销宣传活动。

5、协议生效后，乙方可以以甲方总代理或办事处的名义对外宣传。

6、乙方负责在代____区域内本产品的广告宣传及费用，设计光盘由甲方提供，依法办理产品有关宣传手续，做到合法经营。

三、 总代理商从事的业务范围

1、区域内二级代理商的建立。

2、区域内零售市场的建设，以及产品的批发，终端销售。

3、密切与工程商合作，或与房地产商及需求单位直接合作。

4、经常进行宣传促销活动。

四、 代理条件

1、乙方必须是注册合法的公司或经营单位，具有固定的经营场所，有一定的市场经营网络。

2、乙方必须向甲方提供企业有关资质（企业营业执照、工程施工资质证、销售许可证）。

3、乙方必须完成甲方对其区域规定的首批进货额，季度进货额。

4、签约后，乙方在半年内必须完成（50%以上）区域内的市场营销网络建设。

5、乙方与区域内代理商，二级经销商等所签订的合作协议由甲方、乙方、经销方三方共同签订，或乙方签订后报甲方备案。

6、乙方在区域销售运作中，应严格遵守甲方提供的经销价格体系进行网络销售，乙方供给二级代理商的供货价格按限定供货价的规定执行，乙方区域内零售价格最高不得超出甲方提供的________年全国统一零售价，最低可以下浮____%，如需超出，必须征得甲方书面授权方可执行，否则将取消乙方代理资格，同时赔偿甲方为此造成的各种损失。但对于房地产工程的批量供货可由总代理根据实际情况自定。

7、乙方必须接受甲方业务培训及营销指导内容：

（1）业系列产品各项功能的操作及装使用。

（2）甲方营销政策及营销思路的贯彻。

（3）市场网络建设、规划及销售人员队伍建设。

（4）通过多渠道开拓终端销售业务。

8、不得同时经营其它同档次品牌的同类产品，不然代理权自动取消。

五、 代理数量及价格

1、乙方首先支付万元B货物订金，并可在订货金额内进行货物订购（三个月内），乙方每季度必须完成万元B的进货额，全年必须完成万元B进货额。（具体产品价格及品种见附件）

2、乙方承诺本协议签字之日起____日内，向甲方支付首批货物订金万元B，（甲方按4个月完成供货，每月为元B）如不按时付货款，本协议将自动失效。

3、甲方年终考核乙方年进货总额及市场网络建设情况，如按时完成年进货量及市场网络建设，甲方按乙方年进货总金额的%给予返利，如超额完成年进货量，超额部分按%给予返利。

4、乙方代____区域内所设的二级代理商，经销商，工程用户所需产品由乙方负责统一向甲方购进，或书面委托甲方向乙方指定地点办理托运。

5、从第二季度开始，若乙方提货量达不到本协议规定的每季度进货量的% 且市场网络建设达不到协议指标时则不享受区域总代理政策，乙方不得再以甲方代理商或办事处名义对外宣传。

六、 其它

1、乙方如自动放弃代理权或违约被甲方终止代理权，乙方所有产品不得低于甲方全国统一市场价格的______折销售。否则，乙方应赔偿甲方在该地区销售的损失。

2、乙方售出的甲方产品在使用中出现重大质量问题时，甲方应及时调查情况，在质保时间及围内的产品给于换货，并承担所有运输费用。

七、 付款、运输方式

八、 宣传、技术支持：

九、 违约与仲裁

1、未经甲方同意，如乙方违约跨区销售，一经确认，首先罚违约金人民币万元，然后再将实际损失的额赔偿给甲方。

2、自乙方代理资格生效之日至代理资格失效之日内，甲方不得再到乙方代____区域内进行销售，如有违反，首先罚违约金人民币万元，然后再将实际损失数额赔偿给乙方。

I want to share with you some difficult news about my future plans. Later today, I will announce that I have resigned from Microsoft and will be taking a position in a different filed. It is not without a heavy heart that I contemplate leaving the incredible work and extraordinary people that I have been privileged to encounter during my four years at Microsoft.

Together, we have accomplished what some might have thought could not be done. In a few short years, we have defined a clear and stable strategic framework for Microsoft’s business in the Greater China region. We have nearly doubled sales and have broken through the $1 billion mark in revenue in GCR. In China itself, we have tripled our sales in the last three years. Including those of covered OEMs, and we are posed to hit $ 1 billion in FY08. we have reduced the UPC rate by more than 20%. We have added hundreds of new people and expanded our operations to more than 15 locations across the region. We have strengthened our customer and partner relationships and transformed the way people view Microsoft, not just locally but all around the globe as well.

Most importantly, we’ve been able to use our technology to help improve the lives and livelihood of millions of people throughout the Greater China region. I have learned from each of you along the way and you have made my experience at Microsoft one that I will never forget.

While change always comes with its share of unknowns, there is one thing that I have absolutely no question about, and that is this organization’s ability to continue the great work that we’ve begun. We have a well-thought our transltion plan in place and some of the finest leadership in the team and in our strategy with the Big Rocks plan in place. I have no doubt that in the very near future, Microsoft Greater China region will no longer be talking about breaking through the $1 billion but about the $5 billion mark. J

At 4 PM today, we will have an all-hands meeting in the Millennium Building to discuss my plans and the transition in more detail. In case the rental is more than ten working days overdue, Party B will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, Party B will be deemed to have with drawn from the premises and breach the contract. In this situation, Party A has the right to take back the premises and take actions against party B’s breach.

五、 保证金Deposit

1.为确保厂房及其附属设施之安全与完好，及租赁期内相关费用之如期结算，乙方同意于______年_____月_____日前支付给甲方保证金人民币_________元整，甲方在收到保证金后予以书面签收。

Guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party B will pay _________to party A as a deposit before _____(month) _____(day) _______(year). Party A will issue a written receipt after receiving the deposit.

2.除合同另有约定外，甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将保证金全额无息退还乙方。

Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires and party B clears the premises and has paid all due rental and other expenses.

3.因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用，甲方可在保证金中抵扣，不足部分乙方必须在接到甲方付款通知后十日内补足。

In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit . In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.

六、 甲方义务Obligations of Party A

1.甲方须按时将厂房及附属设施(详见附件)交付乙方使用。

Party A will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to Party B for using.

2.厂房设施如因质量原因、自然损耗或灾害而受到损坏，甲方有修缮并承担相关费用的责任。

In case the premise and attached facilities are damaged by quality problems, natural damages or disasters, Party A will be responsible to repair and pay the relevant expenses.

3.甲方应确保出租的厂房享有出租的权利，反之如乙方权益因此遭受损害，甲方应负赔偿责任。

Party A will guarantee the lease right of the premises. Otherwise, Party A will be responsible to compensate Party B’s losses.

4.

七、 乙方义务Obligations of Party B

1.乙方应按合同的规定按时支付租金及保证金。

Party B will pay the rental, the deposit and other expenses on time.

2.乙方经甲方同意，可在厂房内添置设备。租赁期满后，乙方将添置的设备搬走，并保证不影响厂房的完好及正常使用。

Party B may decorate the premises and add new facilities with Party A’s approval. When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.

3.未经甲方同意，乙方不得将承租的厂房转租，并爱护使用该厂房，如因乙方过失或过错致使厂房及设施受损，乙方应承担赔偿责任。

Party B will not transfer the lease of the premises without Party A’s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

4.乙方应按本合同规定合法使用该厂房，不得擅自改变使用性质。乙方不得在该厂房内存放危险物品。否则，如该厂房及附属设施因此受损，乙方应承担全部责任。

Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it

5.乙方应承担租赁期内的水、电、煤气、电讯等一切因实际使用而产生的费用，并按单如期缴纳。

Party B will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.

6.乙方自行委托物业管理公司对承租的物业进行管理并签订《物业管理协议》，物业管理费自行承担。

Party B will signe The Agreement of premises Management with the management company which was employed by Party B itself,and bear the management itself.

7.乙方若需要对租赁物业进行装饰装修、制作外墙广告等，必须经过甲方的同意。

Without the approval of Party A,Party B can’t decorate the premises ,make advertisement etc.on the outwall.

八、 合同终止及解除的规定Termination and dissolution of the contract

1.乙方在租赁期满前如需退租或续租，应提前两个月通知甲方，由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。

Within two months before the contract expires, Party B will notify Party A if it intends to extend the leasehold. In this situation, two parties will discuss matters over the extension.

2.租赁期满后，乙方应在当天将厂房交还甲方;任何滞留物，如未取得甲方谅解，均视为放弃，任凭甲方处置，乙方决无异议。

When the lease term expires, Party B will return the premises and attached facilities to Party A within days. Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.

3.本合同一经双方签字后立即生效;未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行协商。

This contract will be effective after being signed by both parties. Any party has no right to terminate this contract without another party’s agreement. Anything not covered in this contract will be discussed separately by both parties

九、 违约及处理Breach of the contract

1.甲、乙双方任何一方在未征得对方同意的情况下，不履行本合同规定条款，导致本合同中途中止，则视为该方违约，双方同意违约金为人民币___________元整，若违约金不足弥补无过错方之损失，则违约方还需就不足部分支付赔偿金。

During the lease term, any party who fails to fulfill any article of this contract without the other party’s approval will be deemed to breach the contract. Both parties agree that the default fine will be________________. In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.

2.乙方未按合同约定的用途使用租赁物或擅自转租的，甲方可解除合同，并有权扣除保证金作为乙方违约金。

十、争议解决Dispute Resolve

若双方在执行本合同或与本合同有关的事情时发生争议，应首先友好协商;协商不成，可向合同履行地人民法院提起诉讼。本合同一经双方签字后立即生效;未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行协商。

Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation. In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.

十一、免责条件exception clause

1、因不可抗力原因致使本合同不能继续履行或造成的损失，甲、乙双方互不承担责任。

In the event of the reason caused byforce majeuremake the contract not perform or probuct any loss,Party A or Party B will not bear the obligations each other.

2、因国家政策需要拆除或改造已租赁的房屋，给甲、乙双方造成损失的，互不承担责任。If the loss of both parties caused by remove or recontructive the premies due to national policies, Party A or Party B will not bear the obligations each other.

3、因上述原因而终止合同的，租金按照实际使用时间计算，不足整月的按实际天数计算。

In the event of the reason mentioned above, Payment of rentalwill becounted at the actual months or actual days if it don’t reach a full month.

十二、其他others

1.本合同附件是本合同的有效组成部分，与本合同具有同等法律效力。

Any annex is the integral part of this contract. The annex and this contract are equally valid.

2.本合同壹式贰份，甲、乙双方各执一份。

AGREEMENT OF HOUSE INTERIOR DESIGN

This AGREEMENT OF INTERIOR DESIGN made this date of between A (hereinafter called "the Client" which expression includes their legal representatives, successors in title an assigns) of the one part and B practicing as design consultant at C (hereinafter called “the Designer" which expression includes his/legal representatives, successors in titles and permitted assigns) of the other part.

WHEREAS the Client intends to construct and complete. (hereinafter called the project);AND WHEREAS the Client is desirous of appointing the Designer to provide professional design services for the Project on the terms and conditions hereinafter appearing

IT IS HEREBY AGREED BETWEEN THE PARTIES HERETO AS FOLLOWS:

2.2 While the scope of works includes supervision and installation, it does not cover the maintenance or defects liability period following the award of the ‘Practical Completion Certificate’ to the contractor if any.

3.0 FEES 费用

The fee for the conceptual design phase through project construction phase shall be Charged based on unit rate US Dollar Per Square Foot and designable area of Square Foot. The lump sum of US Dollars: Dollars Only (excluding any local governing withholding taxes). The fee shall be payable by the client as addressed below in the payment schedule.

4.0 TERMS OF PAYMENT 支付条款

5.0 DEFINITION OF SERVICES 服务的定义

5.1 Conceptual Design Phase 概念性设计阶段

Understanding of client’s need and formulation of concept design for client’s approval. Includes advising of the need for Authority submissions and additional consultants where appropriate. Concept Illustrations will be prepared for the client’s understanding of the design intent. No detailing is done at this stage. Subsequent changes after the approval of concept design are deemed additional services and shall be chargeable according to paragraph 7.0 unless otherwise stated.

5.2 Design Development Phase 深化设计阶段

Development of the approved concept design for client’s approval. Includes preparation of working drawings for construction, and selection of materials and finishes.

对经客户批准的概念性设计进行深化。包括为建设施工用的工作图纸的准备，材料和饰面的选择。

Appointed consultants shall be coordinated to produce a complete design.

制定顾问应协调制作出一个完整的设计。

Necessary detailing will be produced at this stage. 必要的细节设计将在该阶段完成。

Project cost increment can be implemented at this stage if client desire for better quality material/finishes that is not provided for in the original budget or additional services.

该阶段客户可以要求获得质量比最初商谈提供或额外服务中约定的质量更好的材料或饰面，相应调增相关项目费用。

Adjusted project fee shall propose by Design Consultant in the ‘Fee Amendment Schedule’ upon client’s request for project fee increment.

调整的项目费用应有设计咨询单位在“费用变更单”中根据客户要求而导致项目费用的增量提议。

The ‘Fee Amendment Schedule’ shall supercede paragraph 3.2.Changes requested by the client after the approval of production drawings are deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.

客户要求的对施工图的设计变更被批准后，“费用变更单”将取代第3.2条的约定，被视为额外的服务，应根据第7条收取相应款项，除非双方另有约定。

5.3 Project Documentation Phase 项目文件阶段

Preparation of all necessary technical specifications for the project.

准备该项目所需的所有必要的技术性规定。

All necessary design coordination with other consultants shall be completed by this stage.

与其他设计单位协调所有的设计必须在该阶段完成。

Relevant authority approval for commencement of work shall be awarded by this stage, when appropriate.

该阶段合适时间应获得相关部门同意开工的批示。

Client shall be notified upon completion of this stage. 完成该阶段时应通知客户。

Any changes requested by client at this stage shall be deemed additional services and shall be chargeable according to paragraph7.0 unless otherwise stated.

客户在该阶段要求的任何变更应被视为额外的服务，除非双方另有约定，应根据第7条收取相应款项。

5.4 Construction Phase建设施工阶段

Implementation of the approved design. 经批准同意的设计的实施

Design Consultant shall supervise site installation, review all selected materials in the approved documentation delivered to site, for size quality and conditions, and to reject materials that is not according to specification.

设计方应监督现场安装，检查所有批准文件中选定的被运至现场的材料，包括规格、质量和品质，拒收不符合规范的材料。

The Design consultant shall provide final inspection and a Practical Completion Certificate shall be awarded upon Consultant’s satisfaction that all works has been completed accordance to approved drawings.

设计方应提供最终的检验以及提交表明咨询方认为所有工作根据批准图纸已经完成的实际完成证明。

Changes by client at this stage are considered additional services and shall be chargeable according to paragraph 7.0.

客户在该阶段要求的任何变更应被视为额外的服务，除非双方另有约定，应根据第7条收取相应款项。

In addition, a delay fee shall be charged for additional cost of labour, overheads, warehousing, and material cost in accordance to the schedule in the specifications as the result of delays and cost incurred by such request.

此外，设计方有权收取因延误施工工期而导致的人工费用、间接成本、仓储和材料费用等逾期费用，以及因此而导致的的其他损失。

6.0 AMENDMENT OF APPROVED DRAWINGS BY DESIGN CONSULTANT

设计终稿的变更

6.1 The Design Consultant reserved the right to change approved design, detailing, materials, finishes and specification due to unforeseen circumstances that is not within the control of the Design Consultant. Such changes shall be commuted to the client and no additional service charge shall be payable by the client. However additional cost incurred to labour and material shall be reimbursed by the client.

由于不可预见即设计方无法掌控的情况，设计方保留对设计终稿的设计、细节设计、材料、完成和规范的修改权。此等设计修改应减轻客户的义务，即客户无需就该等设计的修改向设计方支付额外的费用。但额外的人工费和材料费应由客户承担。

7.0 COMPENSATION FOR ADDITIONAL SERVICES 额外服务费用

7.1 For project representation beyond that is already mentioned, compensation shall be computed as follows: Dollars Per Hour (S$100.00/Hour)

对于上述提到的额外服务的补偿费，应按每小时 元计算

7.2 This Service shall be approved by client in writing before the Design Consultant provides such services.

设计方在提供额外服务前应获得客户事先的书面许可。

7.3 In cases which Design Consultant wavered or lowered charges of additional services of a particular request, they are deemed one off provision of the subject matter concern, and do not render this paragraph void for subsequent request arising, even if they are similar requests.

除非设计方同意对某项特定的额外服务给予优惠或降低收费，否则他们对于每一特定主题的收费是单独收费，不会因为之后而来设计要求是相似的而放弃收取费用。

8.0 REIMBURSABLE EXPENSES 可补偿费用

8.1 Reimbursable Expenses are in addition to compensation for basic and additional services. It shall include cost incurred by the Design Consultant and its employees in the interest of the project, as identified in the following clauses.

可补偿费用是指除基本和附加服务外的费用。包括设计方及其工作人员为了项目利益而发生的费用，具体由以下条款确认。

8.2 Expenses for all travel related cost including business class airfares with Singapore Airlines or Equivalent, 5 star hotel accommodation, surface transportation and luggage handling or courier services.

包含新加坡航空商务舱或其他等价机票、五星级酒店住宿费、地面交通费、包裹搬运费或快递服务费在内的相关差旅费。

8.3 Expense for professional and perspective drawings and/or scale models at the request of the client, plus 10% handling charge.

客户要求的专业效果图纸和/或测绘模型的费用以及10%的手续费。

8.4 Expense for courier services, postage and handling of drawings, specification and other documents.

快递服务费，图纸、说明书和其他相关文件的邮费及包装费

8.5 Expense for colour prints or colour slides when requested by client.

客户要求的彩印或者彩色幻灯片费用。

8.6 Professional fees and reimbursable expenses of supporting consultants.

辅助顾问的专业费用和可补偿费用。

8.7 Documentation and lithography cost, and fees payable to authorities where relevant.

文件及印刷费用，以及支付给相关政府部门的费用。

8.8 Site Staffs appointed and will act under the direction of the relevant consultants. Client shall reimburse the consultant all expenses incurred by such appointment.

任命工地人员且在相关顾问的指导下工作。客户应当补偿该顾问在此任命下发生的所有花费。

9.0 PAYMENT WITHHELD 支付扣留

9.1 No deductions shall be made from Design consultant’s compensation due to penalty, liquidated damages, or due to the cost of changes in the Works other than those, which the Design Consultant has been found liable due to, be liable. The Design Consultant’s work shall be deemed to be complete upon the implementation of the work based on the approved working drawings under the Design Development Phase.

以下费用不得被抵扣：(1)设计方由于罚金、违约金而获得的赔偿金;(2)除了被确认的由于设计方的责任而导致的设计变化而产生的费用。基于在设计开发阶段被批准的设计图纸开始施工时设计方的工作即被视为已完成。

10.0 DAMAGE OR DESTRUCTION OF WORKS 工程毁损

10.1 If at anytime before the completion of the project, the works, or equipment or any part thereof shall be damaged, or destroyed by operation of war, riot, civil commotion, natural catastrophe, or any other circumstances beyond the control of the Design Consultant, the client may require the Design Consultant to resume work on the project. The Design Consultant may do so upon notification in writing by the client. However, the remedial work and subsequent additional works relating to the project shall be subjected to a mutually agreed fee, before the work is resumed.

在项目竣工前的任何时间，如若发生由于战争，动乱，内乱，自然灾害或者其他任何不在设计方控制内的事件而导致工程、设备或者其他设施毁损灭失的，客户有权要求设计方重新开始工程的相关工作。设计方应当在收到客户的书面通知后开始工作。在工作重新开始前，双方应当确认好补救工作和随后的附加工作的具体费用。

11.0 CARE AND DILIGENCE 谨慎勤勉义务

11.1 The Design Consultant shall exercise all skill, care and diligence, and shall discharge his obligations under appointment in accordance to sound professional practice.

设计方应该运用专业技能勤勉谨慎地履行合同，并且按照约定根据合理的专业实践履行义务。

12.0 TERMINATION 合同终止

12.1 The obligation to provide further services under this agreement may be terminated by either party upon 14 days written notice in the event of substantial failure by the other party to perform in accordance to the term through no fault of the terminating party.

如若发生导致合同实际履行不能的事件，一方在无过错的前提下提前14日书面通知另一方后合同义务即告终止。

12.2 The client upon may terminate this agreement not less than 14 days written notice to the Design Consultant in the event that the project is permanently abandoned. If the client abandons the project for 90 consecutive days, the Design consultant may terminate the agreement by written notice.

如若工程被永久废弃，客户需提前14日书面通知设计方以终止合同。如果客户持续90日废弃该工程，设计方可书面通知终止合同。

12.3 The agreement may be terminated if either party commits a breach of agreement and fails to remedy within 14 days after the notification in writing specifying the breach and requiring its remedy.

一方违约后，另一方可以通知对方采取补救措施。违约方在收到对方的书面通知后14日内未能成功补救的，未违约方可以终止合同。

12.4 This contracts shall terminate with immediate effect if either party commits an act of bankruptcy of commerce proceeding of winding up (other than for reason of amalgamation or reconstruction of the company), or if an administrator, liquidator or receiver is appointed for the whole or part of the business of the party.

一方进入破产程序(公司合并或者重组除外)后，或者清算人或破产管理人被指派接管其全部或部分事务，本合同即告终止。

12.5 In the event of any termination, the Design Consultant shall be paid for all services rendered to the dated of termination, including any reimbursable expenses and termination expenses. The Design Consultant shall submit his account for the balance of payment with 30 days of termination. The client shall pay all outstanding fees within 30 days upon the receipt of the account. A monthly interest of 1% is chargeable if payment due to the Design Consultant is not received after 30 days upon issuance of the final account.

合同终止事由发生时，客户须支付设计方包括可补偿费用以及合同终止费用在内的合同终止前发生的所有服务费用。设计方须提交合同终止30日前的收支帐户明细。客户须支付30日内帐户中列明的应付未付款项。最终账户确认后30日内没有付清的，设计方有权按每月1%收取利息。

13.0 OPINION OF COST 成本建议

13.1 As the Design Consultant has no control over the cost of labor, materials, equipment or services furnished by others, as well as the contractor’s method of pricing, and/or market conditions. The preliminary estimates of construction cost are made on the basis of experience and qualifications; they represent the best judgement as experience professionals, familiar with the construction industry. However, the Design Consultant does not guarantee that such estimates will not vary from the actual construction cost, and, or fee of services quoted by the relevant party. Services to modify Contract Documents to bring the construction cost within any limitation established by the client may be considered additional services and paid for as such by the client at a mutually agreed fee.

设计方不能控制由其他方提供的劳务、材料、设备和服务费用，以及施工方的定价方法和/或市场情况。初步的建设成本预估是基于经验和资历的，设计方熟悉建筑行业，代表有经验专业人员作出最好的判断。但是设计方并不确保其所做的预估一定与由相关方提供的实际的建筑成本或者服务费用相一致。在客户设立的限制下提供的修改施工成本合同文件服务将被视为附加服务，相关费用应以双方一致同意为准。

14.0 SETTLEMENT OF DISPUTE 纠纷处理

本约定书的所有方面均应适用新加坡国的法律进行解释并受其约束。与本约定书有关的任何纠纷或争议，双方均可提交 进行仲裁;

All of the agreement shall be interpreted and governed by the laws of Singapore. Any disputes in connection with the agreement shall be settled through friendly negotiation. If negotiation fails, the disputes can be submitted to for arbitration.

本A序列优先股购买协议于X年XX月XX日由依据国家的法律设立并有效存续的X公司(简称“公司”)和在本协议附件A中所列的投资者(单数为“投资者”，复数为“投资者们”)以及本协议签字页上所载的创始人(单数为“创始人”，复数为“创始人们”)所订立。

当事人藉此订立以下内容：

一、优先股的购买与出售(Purchase and Sale of Preferred Stock)

1、A序列优先股的出售与发行(Sale and Issuance of Series A Preferred Stock)

(1)公司应该在首次交割之前或当时采用并提交给有关政府主管部门以本协议附件B的形式作出的经修订和重述的公司章程(简称“重述的章程(Restated Certificate)”)。

(2)在遵守本协议条款的前提下，所有购买者同意在交割时购买、公司同意在交割时出售，按照附件A所列各购买者对应的A序列优先股数量、美元的每股购买价。根据本协议发行给购买者的A序列优先股，包括首次交割以及任何重大事件股份(Milestone Shares)和额外股份(Additional Shares)，均在本协议中称为“股份”(Shares)。

2、交割;交付(Closing; Delivery)

(1)首次股份购买与出售应该在X年XX月XX日X点X分通过文件交换与签署这种远程的方式进行，或者在公司与购买者通过口头或书面确定的时间和地点(这一时间与地点被称为“首次交割”)进行。如果存在多次交割，那么“交割”一词应该适用于所有交割，除非存在另外的特别说明。

(2)在每一次交割时，公司应该在收到购买者支付给公司的支票、给公司指定的银行帐号的电汇、取消或抵消公司负担的负债、或者采取这几种方式的合并方式支付对价之后，交付给每个购买者一个说明购买者购买了多少股份的证书。

3、额外优先股的出售(Sale of Additional Shares of Preferred Stock)

在首次交割之后，公司可以按照本协议中所含的条款和条件出售最多至额外A序列优先股的股份(“额外股”)给一个或多个购买者(“额外购买者”)，如果满足：(1)此种后续购买发生在首次交割之后的90天之内;(2)每个额外购买者都通过签署和交付每个交易协议(Transaction Agreements，下文将对该词进行定义)的签字页副本的方式成为交易协议的缔约方。附件A应该进行相应的更新，以反映在这种交割中被购买的额外股数量以及购买这种额外股的当事人。

4、资金用途(Use of Proceeds)

按照依据投票协议(Voting Agreement)组成的公司董事会的指令，公司将出售股份所得的收益用于产品的开发以及其他一般公司用途。

5、本协议中被定义的用语(Defined Terms Used in this Agreement)

除了上述被定义的词语之外，本协议中的以下词语应该被解释为含有以下含义：

关联方(Affiliate)是指，对于特定某人(自然人或法人)而言，直接或间接地控制该人、或由该人控制、或与此人共同被他人控制的主体，包括但不限于此人的任何普通合伙人、管理人员、职员以及董事，或者被此人的一个或多个普通合伙人或管理人员控制的现有或未来将存在的风险资金，或者与此人一同被同一个管理公司管理的主体。

公司知识产权(Company Intellectual Property)是指，所有正在进行操作或正在计划操作的、公司业务运行所必须的专利、专利申请、商标、商标申请、服务标志、商号、版

权、商业秘密、许可、域名、掩膜作品、信息和专有权利以及加工方法。

补偿协议(Indemnification Agreement)是指，公司和根据投票协议有权指定董事会成员的购买者所指定的董事之间所签订的协议，该协议将在首次交割日、按照本协议附件D的格式签署。

投资者权利协议(Investors’ Rights Agreement)是指，在公司、购买者以及特定的公司股东之间签订的协议，该协议将在首次交割日、按照本协议附件E的格式签署。

核心雇员(Key Employee)是指，管理级别的雇员(包括部门总裁和副总裁级别人员)，以及独自或与他人合作开发、发明、编程或涉及公司知识产权的雇员。

知晓(Knowledge)以及公司知晓(to the Company’s knowledge)是指，经过合理调查之后的以下官员的实质性知晓。这些人员包括：, ,

管理权文件(Management Rights Letter)是指，公司和购买者在交割日、按照本协议附件F的格式签订的文件。

重大不利影响(Material Adverse Effect)是指，针对公司业务、资产(包括无形资产)、责任、财务状况、财产、前景或运行结果的重大不利影响。

人(Person)是指，任何个人、公司、合伙、信托、有限责任公司、协会或其他实体。 购买者(Purchaser)是指，作为本协议的原始缔约方的购买者，以及在后续交割时成为本协议当事人的购买者。

优先购买权和共同出售权(Right of First Refusal and Co-Sale Agreement)是指，在公司、购买者以及公司特定股东之间在交割日、按照本协议附件G的格式而签订的协议。

股份(Shares)是指，在首次交割时发行的A序列优先股以及在后续交割时发行的额外股。

交易协议(Transaction Agreements)是指，本协议、投资者权利协议、管理权利文件、优先购买权和共同出售权协议、投票权协议、以及其他任何与本协议有关的协议和文件。

投票权协议(Voting Agreement)是指，在公司、购买者以及公司特定股东之间在交割日、按照本协议附件H的格式而签订的协议。

二、公司的陈述与保证(Representations and Warranties of the Company)

公司谨此向每个购买者作出陈述与保证，除非另有说明，除了本协议附件C——披露清单(Disclosure Schedule)所规定的例外之外，而且该例外被视为本协议下的陈述与保证的一部分，以下陈述在交割日为真实而完整的。该披露清单应该按照与本协议第二条项下各款以及各项的号码与标题安排和组织文字，并且所披露内容应该与本协议第二条各款和各项内容相对应，以使人在阅读之后就可以明显地看到该披露适用于该条款。

为了这些陈述与保证的目的，“公司”一词应该包括公司的所有分公司，除非另有说明。

1、构成、有效存续、公司权力与资格(Organization, Good Standing, Corporate Power and Qualification)

公司是依据法律适当组建的、有效存续并且具有良好声誉的公司，同时具有正在进行的或拟进行的业务所必须的所有公司权力与权限。公司在各个管辖区域内均具有适当的交易资格和良好声誉，而不具备此类资格将导致重大不利影响。

2、股本(Capitalization)

在首次交割之前，公司的授权资本由以下部分构成：

(1)普通股股份，美元每股价格，股在首次交割之前已经发行的股份。所有已经发行的普通股均已经有效授权、得到全额支付、除了缴付出资额外免除任何费用或责任、而且符合相关法律法规的规定。

(2)股的优先股，其中股被指定为A序列优先股，并且在首次交割之前尚未

发行。优先股的权利、特权以及优先权将依照重述的章程以及公司成立所遵守的法律法规所确定。

(3)公司保留股普通股，以根据公司董事会合理采用、公司股东批准的股份计划(简称为“股份计划(Stock Plan)”)发行给公司官员、董事、雇员和顾问。对于这些保留的普通股，股已经根据限制股份购买协议发行，购买股的期权已经被授权并已经发行，股普通股根据股份计划保留为公司官员、董事、雇员和顾问发行的股份。

(4)披露清单第2.2条第(4)款规定，在首次交割后的公司股本应该包括以下数量的股份：(i)已发行普通股，包括对于限制性股票而言的行权计划和回购价格;(ii)已发行股份期权，包括行权计划和回购价格;(iii)未发行但是保留今后发行的股票期权;(iv)各轮优先股;以及(v)权证和股份购买权，如有。除了(A)根据本协议将发行的股份的转换优先权;(B)投资者权利协议第4条规定的权利;(C)本协议第2.2条第3款和披露清单第2.2条第(4)款所述的证券与权利，不存在任何其他已经发行的期权、权证、权利(包括转换或先买权、优先购买权以及类似权利)以及口头或书面的协议，以从公司购买或取得任何普通股、A序列优先股、以及其他可以转为普通股或A序列优先股的证券。所有已发行的公司普通股和所有已发行期权涵盖的公司普通股均受限于：(i)对于任何拟进行的有利于公司的转让所行使的优先购买权;以及(ii)不少于根据适用法律所提交的登记声明中列出的锁定期和不参与市场交易期。

(5)公司股权购买协议或股份期权文件中都不包含行权加速到期的规定，或者对于行权条款或涉及行权问题的其他协议或谅解的改变。公司从未通过修订、取消、代替授予、重新定价以及其他方式调整或修订此前授予的股份期权的执行价格。除了在重述章程中存在相应说明外，公司没有义务购买或回赎任何股本。

3、分支机构(Subsidiaries)

公司现在不直接或间接拥有或控制任何其他公司、合伙、信托、合资企业、有限责任公司、协会或其他商业主体的任何利益。公司不是任何合资企业、合伙或类似安排的参与方。

4、授权(Authorization)

所有需要由公司董事会和股东采取的、为了授权公司订立交易协议、在交割时发行股份和可以转换为普通股的股份的所有公司行为，均已经在交割之前完成或即将完成。所有为了签署和交付交易协议、在交割时履行公司在交易协议下的全部义务、以及股份的发行和交付而需要公司官员采取的行为，均已经在交割之前完成或即将完成。在公司签署和交付交易协议时，该协议应构成对公司有效的、有法定约束力的义务，可根据相关条款针对公司执行，但是下列事项除外：(i)受可适用的破产、重组、延期偿付、欺诈性财产转移、或者其他与执行债权人权利相关的通常适用的法律的限制;(ii)受有关实际履行、禁令救济、以及其他衡平法补偿措施可用性的法律的限制;或者，(iii)在投资者权利协议所载的补偿条款的范围内，补偿协议可能受限于相关法律法规。

5、股份的有效发行(Valid Issuance of Shares)

根据本协议规定的条件和对价发行和交付的股份应为有效发行、充分支付、除了缴付出资额之外免除任何费用或责任的、除了根据交易协议、相关适用法律以及购买者创设或采取的留臵进行转让限制之外不受任何限制的股份。已被适当保留并将根据重述章程发行的、可因股份转换而发行的普通股，应为有效发行、充分支付、除了缴付出资额之外免除任何费用或责任的、除了根据交易协议、相关适用法律以及购买者创设或采取的留臵进行转让限制之外不受任何限制的股份

6、政府同意与备案(Governmental Consents and Filings)

假定购买者根据本协议条款进行的陈述是准确的，那么公司就无需就本协议规定的交易完成在任何政府机构取得同意、批准、命令或授权、登记、取得资格、声明或提交文件。但

是下列事项除外：(i)在首次交割时提交重述章程;(2)根据适用的证券法规完成及时的备案。

7、诉讼(Litigation)

没有未决的、目前正威胁以书面提起的、公司知晓的、针对下列事项的权利请求、诉讼、案件、法律程序、仲裁、控诉、罚款或调查程序：(i)基于雇佣关系或与公司董事会的联系，对公司、以及公司的任何官员、董事、核心雇员;或者，(ii)在公司知晓的范围内，质疑交易协议的有效性、公司订立这些协议的权利或者完成这些协议中所含交易的权利;或者，(iii) 在公司知晓的范围内，无论是单独的还是积累的，可以被预期的重大不利影响。无论是公司、还是公司所知晓的范围内，任何公司官员、董事、核心雇员均非任何案件的当事方或任何法院、政府机构、执行机构的命令、指令、禁令、判决或决定所指向的对象。没有任何公司提起且未决的或打算提起的诉讼、案件、法律程序或调查。前述内容包括但不限于涉及此前公司雇佣的任何雇员、这些雇员所提供与公司业务有关的服务、前任雇员主张的由其所有的专有信息或技术、或是与前任雇员签订的协议中存在的义务而提起且未决或即将威胁以书面方式提起的任何诉讼、案件、法律程序或调查。

8、知识产权(Intellectual Property)

在公司知晓的范围内，公司在推广或销售(或拟进行推广或销售)的产品或服务均未违法或将来违反任何许可，均未对任何其他当事人的知识产权构成或将来构成侵权。除了标准用户代码协议下的商用软件产品之外，没有任何与公司知识产权相关的任何性质的已发行期权、许可、协议、权利主张、妨害或分享所有权的利益，公司也不受限于或成为任何的针对他人的专利、商标、服务标识、商号、版权、商业秘密、许可、信息、专有权和加工方法所设臵的任何期权、许可或协议的当事方。公司未收到任何声称公司违反或因业务运作将违反任何其他人的专利、商标、服务标识、商号、版权、商业秘密、或其他专有权和加工方法的函件。公司已经取得并拥有在其所有、租赁或以其他方式提供给雇员供其进行与公司业务有关的电脑和其他软件驱动的电子设备上使用所有软件程序的有效许可。在公司知晓的范围内，公司无需使用其雇员、顾问、或目前有意招聘的人员在受聘用之前的发明。公司雇员和顾问均将其所有的与公司业务相关的、正在使用或拟进行使用的知识产权转让给了公司。披露清单第2.8条列出了所有公司的知识产权。

9、对其他文件的遵守(Compliance with Other Instruments)

公司没有违反或怠于履行：(i)重述章程或公司内部规章的任何条款;(ii)任何文书、判决、命令、指令或决定;(iii)任何票据、单据或抵押;或者，(iv)在披露清单中需要列出的公司成为一方当事人或公司受其约束的任何租赁、协议、合同或购买文件，以及违反之后将产生重大不利影响的法律法规。

交易协议的签署、交付和履行以及完成交易协议中包含的交易内容，将不会导致任何前述的违反，而且不会构成，无论当时还是一段时间之后、无论给出通知或是没有：(i)任何此种规定、协议、判决、命令、指令、决定、合同、协议的怠于执行;(ii)导致在公司资产上设臵任何留臵或抵押，或者导致适用于公司的任何重要许可的推迟、取消、没收或无法续展。

10、协议;行为(Agreements; Actions)

(1)除了交易协议之外，没有关于下列事项的、以公司为当事方或公司受其限制的协议、谅解、文件、合同、或拟进行的交易：(i)义务或付款;(ii)向公司授予或从公司取得任何专利、版权、商标、商业秘密、或其他专有权的许可;(iii)向其他人授予制造、生产、组装、许可、推广的权利或者向其他人销售产品，但是这种授权或销售限制了公司独有的开发、制造、组装、分销、推广或销售产品的权利;或者，(iv)公司对于侵犯专有权利作出的补偿。

(2)公司没有：(i)宣布或已经支付任何股息，或已授权或分配任何种类或轮次的股权;(ii)因为借贷而产生的债务或其他责任，每笔金额超过美元或总计超过美元;(iii)向任何人贷款或预支费用，普通差旅费预支除外;或者，(iv)出售、交换、或以其他方式处臵其资产或权利，在普通业务中出售库存除外。

(3)公司不是任何其他人债务的担保人或补偿者。

(4)公司在过去三个月内没有与任何人的代表人讨论过下述事项：(i)公司全部资产或实质性全部资产的出售或排他许可;或者，(ii)公司与其他人或被其他人兼并、合并或进行其他商业合并交易。

11、特定交易(Certain Transactions)

(1)除了(i)通常向员工提供的标准员工福利;(ii)董事会批准的标准董事和公司官员的补偿协议;(iii)购买公司权益性股票和发行购买公司普通股的期权等经董事会书面会议记录批准的事项外，公司与其官员、董事、顾问、核心雇员以及这些人员的关联方之间没有任何协议、谅解或拟进行的交易。

(2)除了正常经营过程中出现的费用或费用预支、员工重新安臵费和其他通常提供给全体雇员的常见雇员福利之相关债务之外，公司不直接或间接向公司任何董事、官员、雇员或这些人员的配偶、子女或关联方承认任何债务。公司董事、官员、或其直系亲属或这些人员的关联方，均没有直接或间接地向公司负债。

12、登记权与投票权(Rights of Registration and Voting Rights)

除了投资者权利协议的规定之外，公司无任何义务根据相关证券法规登记当前已发行证券或因执行或转换当前已发行证券而产生的可发行证券。在公司知悉的范围内，除了投票协议的规定之外，公司股东均未就公司权益性股票的投票事宜签订任何协议。

13、没有设臵抵押权(Absence of Liens)

除了因支付当前税款而进行的法定留臵之外，公司所有的财产和资产均无任何抵押、信托、留臵、贷款和义务，而且前述未纳税行为尚未构成违法和妨碍，而且因此进行的留臵是在公司正常经营过程中发生的，并未对公司拥有或使用该财产或资产形成重大损害。对于租赁的财产和资产而言，公司遵守该租赁，并且在公司知晓的范围内享有有效的租赁利益，该利益免受该财产或资产的出租者之外的任何人的留臵、权利主张或妨碍。

14、财务报告(Financial Statements)

公司已向购买者发送了经审计的(或未经审计的)、从X年XX月XX日截至X年XX月XX日财政年度的财务报告。财务报告根据其所指期间持续适用的通用会计准则进行准备。财务报告在所有重要方面均公正显现了公司在报告日和报告所列期间的财务状况和运营结果，但是未经审计的财务报告受限于通常年底审计的调整。除了财务报告所规定的内容以外，公司除了下述责任或义务外，无任何其他附随或其他重大责任或义务：(i)之后公司在正常经营过程中发生的责任;(ii)公司正常经营过程中订立的合同或作出的承诺下的义务;和，(iii)通常采用的会计准则不要求反映在财务报告中的某种类型或性质的责任或义务，前述各项，单独或累加，均不构成重大不利影响。公司维持并将继续维持根据通常采取的会计准则建立和管理的标准财务系统。

15、变更(Changes)

自最新一次财务报告提交日(如无财务报告，则为公司设立日)以来，未发生：

(1)与财务报告所反映的公司资产、责任、财务状况或运营结果不同的任何变更，除了在正常经营过程中发生的、积累起来不构成重要不利影响的变更;

(2)会有重大不利影响的任何损害、破坏或损失，无论其是否被保险所涵盖;

(3)公司对有价值的权利或重大债权的放弃或妥协;

(4)任何留臵、权利主妨碍的实现与解除，或公司对任何义务的支付，而在正常

经营过程中发生的、不会产生重大不利影响的实现与解除除外;

(5)公司或其资产受约束或受限的重大合同或协议的重要变更;

(6)赔偿安排或与公司雇员、官员、董事或股东间的协议的重大变更;

(7)公司官员或核心雇员的辞职或雇佣关系的终止;

(8)公司对其重要财产和资本进行的抵押、质押、权利转让或留臵，而针对未到期或可支付的税款进行的留臵以及不会对公司所有或使用该财产或资本产生重大损害的、在正常经营过程中发生的留臵除外;

(9)公司向其雇员、官员、董事或其直系亲属进行的任何贷款或担保，或为前述人员利益进行的任何贷款或担保，而差旅费预支和其他正常经营过程中的费用预支除外;

(10)公司股份的宣布、撤销、支付或其他分配，或公司对股份的直接或间接回赎、购买或以其他方式的取得;

(11)经合理预测会导致重大不利影响的、对公司知识产权的出售、让与或转让;

(12)收到关于失去公司重要客户或该客户取消重要订单的通知;

(13)在公司知晓的范围内，经合理预测会造成重大不利影响的任何其他事件或任何性质的条件，而一般性影响经济或公司所在行业的事件除外;或者，

(14)公司从事本条款中所述事项的安排或承诺。

16、雇员事宜(Employee Matters)

(1)在本协议签署之时，公司聘有X名全职员工、X名兼职员工、以及与X名顾问或独立订约人签订了协议。披露清单提供了对截至X年XX月XX日的财政年度中得到补偿超过美元或预计在截至X年XX月XX日的财政年度中可以得到补偿超过美元的所有公司官员、雇员、顾问和独立订约人已付或可付的所有补偿的详细表述，包括薪金、奖金、遣散义务和延期支付。

(2)在公司知晓的范围内，其雇员均没有对其促进公司利益的能力发生重大影响的或与公司业务形成冲突的任何合同(包括许可、契约或任何性质的承诺)或其他协议下的义务，或受限于任何造成同等影响的法院或政府机构的判决、裁定或指令。无论签署或发送交易协议，还是由公司雇员从事公司业务，或现在进行或现在拟进行的公司行为，在公司知晓的范围内，均不会与任何雇员当前负有义务的合同、契约或文件形成冲突，或造成违反其条款、条件或规定，或者构成任何不履行。

(3)公司在向其雇员、顾问或独立订约人支付任何工资、薪金、佣金、奖金或为截至本协议签订日向公司提供服务进行的其他直接补偿或请求补偿款项时，不存在迟延支付的情况。公司在所有重要方面均遵从所有可适用的劳动方面的法律法规。公司扣除并向适当的政府机构支付了所有需要从公司雇员补偿中扣除的款项，并且扣除了尚未到支付期但是应该扣除的款项。公司不欠任何工资、税款、罚款或因未遵守前述规定而发生的款项。

(4)在公司知晓的范围内，没有核心雇员打算终止与公司间的雇佣关系，也不可能以其他方式无法继续从事核心雇员所负责的工作。公司现在也没有打算终止前述雇员的劳动关系。所有雇员的劳动关系均可以依据公司的意愿终止。除非在披露表中有相关规定或遵守法律的要求之外，在终止此类雇员的劳动关系时，没有任何遣散费用或其他支付产生。除了在披露表中存在另外规定，对于遣散费用，公司没有支付该费用的政策、实践、计划或安排，而且公司也没有任何形式的遣散补偿。

(5)公司没有对与董事会会议纪要规定的股份额度和条件不相符的、向公司官员、雇员、董事和顾问提供的股权激励作出任何声明。

(6)被公司终止劳动关系的核心员工与公司达成协议，完全放弃对公司或任何相关方的、因该雇佣关系而提起的任何权利主张。

(7)披露清单列出了公司维持的、设立的或发起的，或公司参与的或分担的员工福利

计划，以及所有法律法规要求的员工福利计划。

17、纳税申报与支付(Tax Returns and Payments)

公司到期的和应支付的各类税款都已经支付了。公司没有已经到期的、积累而未支付的各类税款，无论此类税款是已经经过评估的或仍存在异议的。没有针对各类纳税机构的纳税申报或报告的审核或审计。公司已经就所有要求提交的纳税申报进行了及时的提交，对于任何年度的税款均未放弃可适用的法定纳税限制。

18、保险(Insurance)

公司具有充分效力的、保险范围广泛的火灾和灾害保险，足以替换任何被损害或毁损的财产(受限于相应扣减)。

19、保密协议与发明转让协议(Confidential Information and Invention Assignment Agreements)

现在和以前的公司雇员、顾问和官员已经就发给购买者律师的文本中包含的保密和专有信息与公司签订了协议(保密信息协议)。现有和以前的核心雇员均将其著作或发明包含在根据核心雇员的保密信息协议进行的发明转让中。公司不知道任何核心雇员违反前述规定。

20、许可(Permits)

公司拥有所有商业行为所必须的特许、许可和类似授权，缺少此类授权将被合理地认为具有重大不利影响。公司在此类特许、许可和类似授权的重要方面均不存在违约。

21、公司文件(Corporate Documents)

重述章程和公司规章均以提供给购买者的格式作出。提供给购买者的公司会议纪要副本记录了自公司设立以来的所有董事会和股东会会议纪要和所有未召开董事会会议或股东会议而以书面许可采取的行为，在所有重要方面准确反映了董事(和任何董事委员会)和股东就该纪要中提及的所有交易采取的所有行为。

22、环境与安全法(Environmental and Safety Laws)

除了公司尽其最大所知而不可能合理预期会产生重大不利影响之外，公司现在和过去都遵从所有环境法，而且公司在现在或以前所有的、租赁的或以其他方式使用的任何场所、在该场所上方、向该场所或从该场所释放或可能释放任何污染物质、有毒有害物质、或石油、或这些物质的部分物质(均称为“危险物”)。公司向购买者提供真实完整的全部重要环境记录、报告、通知、需要证明、许可、未决的许可申请、信件、工程研究、以及环境研究或评估。

23、披露(Disclosure)

公司已向购买者提供了所有购买者在决定是否购买公司股份时要求公司提供的公司合理可得信息，包括公司在说明其拟开展的经营计划时作出的公司规划。在公司所知的范围内，本协议包含的、披露清单认可的所有公司陈述和担保、交割时提供给购买者或将提供给购买者的证书均不包含任何重大事实的虚假陈述，亦未遗漏任何重大事实，不会使陈述发生误导或令人误解的情况。虽然经营计划以诚信的方式被准备，但是公司无法担保可以实现经营计划中所规划的所有运营结果。

三、创始人的陈述与保证(Representations and Warranties of the Founders) 除了披露清单中存在另外的规定，每个公司创始人，单独而非共同地，在交割时向各个购买者作出如下陈述和担保：

1、冲突协议(Conflicting Agreements)

创始人不因公司从事业务的性质或拟从事业务的性质或其他任何原因违反：(i)任何信托或保密关系;(ii)任何关于雇佣、专利、发明转让、保密、专有信息披露、不竞争或不劝诱的(与公司或其他实体订立的)合同或契约的任何条款;或者，(iii)任何其他关于或影

响创始人成为公司员工或担任公司董事或顾问的权利的合同或协议，或者任何约束创始人的法院或行政机构作出的判决、决定或指令。前述关系、条款、合同、协议、判决、决定或指定，均不与创始人尽其最大努力促进公司利益的义务相冲突。本协议的签署和发送，或创始人作为公司董事、官员、顾问或核心员工运作公司业务均不与前述关系、条款、合同、协议、判决、决定或指定相冲突。

2、诉讼(Litigation)

不存在将产生重大不利影响的未决诉讼或政府询问或调查，在创始人知晓的范围内，不存在可能对其提起的诉讼、询问或调查，也不存在此类诉讼、询问或调查的基础。

3、股东协议(Stockholder Agreements)

除非在交易协议中存在或披露，创始人不是任何证券法下并购、资产处臵、登记或公司证券投票的书面或口头协议的当事人，创始人对此也不知晓。

4、陈述与保证(Representations and Warranties)

在创始人知晓的范围内，本协议第二条中所述的公司陈述和担保是真实和完整的。

5、在先法律事务(Prior Legal Matters)

创始人没有：(a)受限于各类破产法下的主动与被动的请求，或受限于法庭对其业务或财产的接收人、财务代理人或类似官员的指定;(b)在刑事诉讼中被判有罪或成为未决刑事诉讼的主体(交通肇事和其他轻微违法行为除外);(c)受限于任何有管辖权的法院永久或暂时禁止其参与证券、投资咨询、银行、保险或其他类型业务或担任上市公司的官员或董事，或以其他方式设臵其参与前述业务的限制或条件的裁定、判决或决定(此后被取消、终止或撤销的除外);以及其他违反法律法规的重大情况。

四、购买者的陈述与保证(Representations and Warranties of the Purchasers) 各购买者谨此向公司，单独地而非共同地，作出如下的陈述与保证：

1、授权(Authorization)

购买者具有订立交易协议的充分权力与权限。经过购买者签署和递交的、以购买者为缔约方的交易协议，构成对购买者有效和有法定约束力的义务，可以按照本协议条款予以执行。除了以下情况：(a) 受可适用的破产、重组、延期偿付、欺诈性财产转移、或者其他与执行债权人权利相关的通常适用的法律的限制，以及受有关实际履行、禁令救济、以及其他衡平法补偿措施可用性的法律的限制;或者，(b) 在投资者权利协议所载的补偿条款的范围内，补偿协议可能受限于相关法律法规。

2、完全是为自己而购买(Purchase Entirely for Own Account)

本协议建立在购买者向公司所作出声明的基础上订立，经签署本协议，购买者在此确认，购买者购买该股份仅出于自己投资的目的，而不是代表他人或代理他人购买，不以再行出售或分配所得股份的任何部分为目的，而且购买者现在无意将所购股票进行出售、向他人授予任何参与权或进行其他分配。通过签署本协议，购买者进一步声明其目前没有与任何人签订任何合同、谅解、协议或安排，以向该人或任何第三方出售或转让购买的股份或授予参与权。购买者不是为了购买股票的特定目的而组建的。

3、信息披露(Disclosure of Information)

购买者已经有机会与公司管理层讨论公司业务、管理、财务事务以及股份出售条件，而且有机会审查公司设施。但是，前述规定并不限制或更改公司在本协议第二条下的陈述与担保以及购买者对其信赖的权利。

4、受限性证券(Restricted Securities)

(注：属于美国证券法下的概念，具体内容略)

5、无公开市场(No Public Market)

购买者清楚，现在不存在针对该股份的公开市场，公司也无法保证未来会存在针对该股份的公开市场。

6、声明(Legends)

购买者清楚，股份和针对股份或为了股份交换而发行的任何证券均具有下述一个或多个声明：

(1)本证书代表的股份未进行《美国19xx年证券法》所规定的登记，该股份是以投资为目的而购买的，而不是以出售或分销为目的或与之有关的类似目的。如果缺少相关有效登记或没有取得以公司满意的形式、由法律顾问出具的说明该股份根据《美国19xx年证券法》不必进行登记的法律意见，那么其转让无法生效。

(2)由其他交易协议规定或要求的声明;

(3)有关地方性证券法规要求的声明。

7、非公开性劝诱(No General Solicitation)

购买者或其公司官员、董事、雇员、代理、股东或合伙人均未直接或间接，包括通过经纪人或中介人，从事以下事项：(a) 公开性劝诱;或者，(b)公布任何与招股和出售股份有关的广告。

8、购买者之间的免责(Exculpation Among Purchasers)

各购买者确认，除了公司及其官员和董事之外，购买者没有依赖任何其他人对公司进行投资或决定对公司进行投资。

9、住所(Residence)

如果购买者是个人，其住所地为附件A所列的购买者地址;如果购买者是合伙、公司、有限责任公司或其他实体，那么购买者的办公地点为附件A所列购买者地址中的主要营业地点所在地。

五、购买者交割时承担义务的条件(Conditions to the Purchasers’ Obligations at Closing)

各购买者在首次交割以及任何后续交割时购买股份的义务受限于此前或此后对下述条件的满足，除非以其他方式予以放弃：

1、陈述与保证(Representations and Warranties)

本协议第二条的公司陈述与保证以及第三条的创始人陈述与保证，在该交割时应在所有方面均为真实和准确。

2、履行(Performance)

公司应已履行或遵从所有本协议所包含的、要求公司在交割时或此前履行或遵守的契约、协议、义务和条件。

3、资格(Qualifications)

与根据本协议进行股份合法发行和出售有关的所有需要取得的政府机构的授权、批准或许可，均应在交割时被取得并保持有效。

4、公司法律顾问意见(Opinion of Company Counsel)

购买者应该从公司法律顾问处收到日期为首次交割时的法律意见书，其格式整体上与附件I的格式一致。

5、董事会(Board of Directors)

在首次交割时，被授权的董事会规模应该为，董事会组成应该为。

6、补偿协议(Indemnification Agreement)

公司和各购买者(不包括以本条件为其不履行本协议义务的购买者)应该签订和交付补偿协议。

7、投资者权利协议(Investors’ Rights Agreement)

公司和各个购买者(不包括以本条件为其不履行本协议义务的购买者)以及其他被列为本协议缔约方的公司股东之间应已签署和交付投资者权利协议。

8、优先购买权和共同出售权协议(Right of First Refusal and Co-Sale Agreement) 公司和各个购买者(不包括以本条件为其不履行本协议义务的购买者)以及其他被列为本协议缔约方的公司股东之间应已签署和交付优先购买权和共同出售权协议。

9、投票协议(Voting Agreement)

公司和各个购买者(不包括以本条件为其不履行本协议义务的购买者)以及其他被列为本协议缔约方的公司股东之间应已签署和交付投票协议。

10、重述的公司章程(Restated Certificate)

公司在交割时或此前已经向有关政府机构提交了重述章程，并且该章程在交割时持续保有其完全效力。

11、程序与文件(Proceedings and Documents)

所有与将在交割时进行的交易有关的公司程序和其它程序以及附带文件，均应该在实体上和形式上满足各购买者，各购买者(或其律师)应已经收到所有这些文件经过认证的正本或合理要求的其他副本。这些文件中可以包括有效存续证明。

12、首次交割时的最小股份数(Minimum Number of Shares at Initial Closing) 首次交割时必须出售至少股份。

六、在交割时公司承担义务的条件(Conditions of the Company’s Obligations at Closing)

1、陈述与保证(Representations and Warranties)

本协议所包含的购买者陈述与保证在该交割时应在所有方面均为真实和准确。

2、履行(Performance)

购买者应已履行或遵从所有本协议所包含的、要求公司在交割时或此前履行或遵从的契约、协议、义务和条件。

3、资格(Qualifications)

与根据本协议进行股份合法发行和出售有关的所有需要取得的政府机构的授权、批准或许可，均应该在交割时被取得并保持有效。

4、投资者权利协议(Investors’ Rights Agreement)

每个购买者应已签署和交付投资者权利协议。

5、优先购买权和共同出售权协议(Right of First Refusal and Co-Sale Agreement) 每个购买者以及其他被列为本协议缔约方的公司股东之间应已签署和交付优先购买权和共同出售权协议。

6、投票协议(Voting Agreement)

每个购买者以及其他被列为本协议缔约方的公司股东之间应已签署和交付投票协议。

七、杂项(Miscellaneous)

1、保证的存续(Survival of Warranties)

除非本协议另有约定，公司、创始人以及购买者包含在本协议中或根据本协议作出的陈述与保证应在本协议签署和交付以及首次交割之后继续有效，在任何方面均不受购买者或股东或其代表的任何调查或对其主题知晓的影响。

2、继承与转让(Successors and Assigns)

本协议对于缔约方继承人和受让人的利益有效，并对其具有约束力。本协议无意，无论

明示或默示，授予缔约方、缔约方的继承人和受让人之外的任何人任何权利、救济、义务或根据本协议或基于本协议而承担的责任，除非本协议中存在明确规定。

3、管辖法律(Governing Law)

本协议以及由于或关于本协议的任何争议将受国家法律的管辖，并且以该法律为依据进行解释，而不考虑可能将所适用的法律确定为国家之外的国家法律的冲突法原则。

4、副本和传真(Counterparts; Facsimile)

本协议可以以传真签字方式签署和送达，其副本可以是两个或多个，每个副本都应该被认为是原件，所有这些文件一起构成一个整体文本。

5、标题和副标题(Titles and Subtitles)

本协议所使用的标题和副标题仅是为了方便才这样使用，在阐释和解释本协议时不应该被考虑。

6、通知(Notices)

所有根据本协议发出或作出的通知和其他函件均应该以书面形式为之，并且在最早的实际被接收时被认定为有效送达，或者：(a)对被指定的主体的个人送达;(b)如果在收件人的正常营业时间以电子邮件或传真方式送达，则发送当时即被认为是有效送达之时;而如果在非正常营业时间发送，那么在接收者的下一个营业日即视为送达;或者，(c)以有回执请求、邮资预付的挂号信方式送达的，那么在邮件发送的五日之后视为送达。所有往来的信函均应发送至相对方在本协议附件A中所列的地址或电子邮件地址、传真地址或后来以书面通知形式进行更改的地址。如果向公司发送通知，应同时发送给[公司法律顾问的姓名和地址];如向购买者发送通知，应同时发送给[购买者法律顾问的姓名和地址]。

7、无中介人费用(No Finder’s Fees)

各方声明，其现在或将来均无义务承担任何与本交易相关的中介人的费用或佣金。各购买者同意补偿并使公司免于承担任何购买者或其官员、雇员或代表应承担的、因本次交易而发生的任何性质为中介人或经纪人费用的责任(以及针对该责任或被指控的责任进行抗辩而发生的开支与费用)。公司同意补偿并使各购买者免于承担任何公司或其官员、雇员或代表应承担的、因本次交易而发生的任何性质为中介人或经纪人费用的责任(以及针对该责任或被指控的责任进行抗辩而发生的开支与费用)。

8、费用和开支(Fees and Expenses)

在交割时，公司应该支付[主购买者的名字]的律师所发生的合理费用和开支，总计不超过美元。

9、律师费(Attorneys’ Fees)

如果为了执行或解释任何交易协议的规定而需要进行任何法律或衡平程序(包括仲裁)，获胜方应该有权对律师费用、花费以及必要的支付得到补偿，除了得到其他救济之外。

10、修订与弃权(Amendments and Waivers)

除了本协议第1.3条之外，只有取得公司和以下人员的书面同意，本协议的任何条款可以修订、终止或放弃：(i)至少%的当时已经发行的股份的股东;或者，(ii)对于首次交割之前的修订、终止或放弃，有义务购买%的首次交割发行股的购买者。任何根据本条款作出的有效修订或弃权均应约束购买者、各股份(或可因转让而发行的普通股)受让人、所有此类证券的未来持有者和公司。

11、独立性(Severability)

本协议某一个或多个条款的无效或无法执行，在任何方面均不影响本协议其他任何条款的效力与可执行性。

12、迟延或疏忽(Delays or Omissions)

因另一方的违约或不作为而导致的本协议赋予某方的权利、权力或救济被迟延或疏忽，

不应影响该非违约方的权利、权力或救济，也不应该被视为是对该违约或后来发生的类似违约的弃权或默许，对某一个违约或不作为的弃权也不应该被视为对此前或此后发生的其他违约或过失的弃权。所有根据本协议对任何违约方或不作为方进行的任何性质的弃权、许可、同意或批准、或根据本协议规定或条件对任何一方的弃权必须是书面的，并且仅在该书面文件内容设定的范围内有效。所有根据本协议、法律或其他提供给任何一方的救济，均是累计的而非选择性的。

13、协议完整性(Entire Agreement)

本协议(包括附件)、重述章程和其他交易协议构成缔约方之间就本主题的全部而完整的谅解和协议，此前缔约方对于本主题达成的任何书面或口头的协议均被明示取消。

14、争端解决(Dispute Resolution)

(法院诉讼或仲裁，具体内容略)

我们乘车从机场来到了丽江新城，在一个旅馆里住下了，那天，我们没有去古城，只是站在窗边远远地眺望着那一幢幢的小房子。它们在夜幕下显得那么安静，不发出一丁点的声音;它们又是那么古朴，依稀看得见历史的足迹;它们还那么迷人，白墙黑瓦的古老小屋，远远望去，在高楼大厦之间显得那么得低矮，从窗户的玻璃后透出了油灯若明若暗的亮光，没过多少时间，灯渐渐熄了。

第二天，当东方露出了鱼肚白，晨曦的微光照耀着还没被唤醒的丽江古城，被稀薄的淡雾笼罩着的一切还是那么得宁静，只是偶尔有几阵微风吹得青草“哗哗”响，吹得小溪“丁冬”地流，吹得树叶“唰唰”地摇。一会儿工夫，太阳蹿上了高高的山头，古城也热闹起来了，家家户户都打开了“吱吱嘎嘎”响的木门，游客们也涌进了迷宫似的丽江古城。我也随着人群，随着一条潺潺流动的小溪，进入了古城。
