第二条.买卖通则
1. 产品定购

1.2 乙方定购的产品，在生产过程中，不允许变动配置，特殊情况一定要变动配置，甲方将视生产难、易度收取一定费用并顺延交货期后予变更。
2. 经销价格
2.1 经销价格:为甲方产品售于乙方时确定的代理经销价格,按甲方公布的当期《中大*车经销商价格表》执行。
2.2 销售价格:为经销商出卖甲方产品时确定的价格，应介于当期《中大*车经销商价格表》中市场售价和最低销价之间，超过代理经销价签订的合同，合同总价与代理经销总价之间差额部分由乙方提供服务费发票。
2.3 乙方销售甲方产品的价格应在甲方确定的范围内进行，乙方超出甲方确定的价格范围销售产品，必须首先得到甲方的书面许可。
2.4 本协议履行过程中，甲方有权根据自身经营状况调整价格，并将价格调整状况及时通知乙方。
3.货款支付
3.1 乙方购买甲方车辆，应于签订买卖合同时支付合同总价20%的
定金，剩余货款提车时一次性付清。
3.2 合同另有约定的，按约定履行。
4. 产品交付、验收、运输费用
4.1 乙方所购车辆的交付地点为甲方所在地或甲方指定的生产所在地。
4.2 乙方人员代表乙方提车时，应向甲方提交付款凭证、提车证明(接车委托书、单位介绍信等身份证明)等书面资料，否则，甲方有权不予交付车辆。甲方在确认乙方提车人员身份证明、所购车辆货款已付清后，为乙方办理提车事宜，并开具增值税发票。
4.3 乙方自提车当时应对车辆进行全面检查，对车辆的内、外观质量，配置等按合同约定逐一验收，如存在问题，及时向品保部门提出书面异议，提车手续办理完毕之时，视为甲方已交付乙方合格车辆。
4.4 甲乙双方可在合同中约定，乙方办理提车手续后，甲方代为送车，送车费用以及车辆临时牌照费、保险费、临时养路费等均由乙方承担。
4.5 乙方提车人员应当按照甲方提车程序办理相关手续，经检查验收车辆合格后在车辆验收单上签字。
第三条.返利与奖励约定
1.返利约定
1.1 乙方每次购车时只需要按代理经销价向甲方付清购车款即可，
乙方出售甲方产品高出代理经销价的部分可视同甲方对乙方的返利。
1.2 甲方在对乙方上述返利的同时计提季度返利，季度返利为代理
经销价的2%，(6米系列车型单台季度返利为500元)在乙方季度销售计划完成后，一次性向乙方兑现。(没完成季度销售计划的不计提季度返利)
2. 年度奖励约定：
对于年度计划完成率达100%以上经销商，甲方将在年度经销商大会上予隆重表彰并给予年度奖励。(具体奖励办法另行颁布)
第四条 双方的责任和义务
1. 乙方的责任与义务
1.1 应设置专门的机构，并保证有专营人员销售甲方汽车产品;
1.2 应具备满足甲方产品销售必须的办公条件、专用展场及分销渠道;
1.3 若不具备甲方产品维修服务能力，应与当地甲方的特约服务单位保持密切联系和沟通，为用户提供满意的服务;
1.4 应主动积极开展甲方产品的宣传和促销活动，与甲方建立良好战略同盟关系，有效开拓地方市场;
1.5 应遵守甲方营销政策中的各项规定，规范运作，不得扰乱甲方市场价格体系或者跨区域销售;
1.6 乙方不得随意在甲方出厂产品上加减配置，由此而引起的产品故障纠纷，由乙方负全责;
1.7 乙方有义务协助用户办理地方上牌事宜，甲方负责提供相关技术资料;
1.8 乙方可以在授权区域发展二级网络或设立分销点，各二级网点和分销点也应遵守甲方关于市场的管理规定，若有违反，责任由乙方承担;
1.9 乙方有义务维护甲方企业及产品声誉，如发现任何侵犯甲方的工业产权或有损甲方利益的非法行为，都应及时向甲方报告，并尽最大努力协助甲方消除不良影响;
1.10 乙方每月5日，应当以《工作月报》形式向甲方通报其上月销售情况、市场行情、用户反馈意见以及本区域内同行业其他供应商所提供商品的车型、配置、价格及销售情况以及区域市场的基本情况;
1.11 甲方有对其市场调查要求的，乙方应以书面形式将调查情况及时、真实、全面地回复甲方;
1.12 乙方在定购车辆的同时，应将与客户签订的销售合同传真甲方备案，售出车辆的三日内，应将用户档案如实填报传真给甲方;
1.13 乙方应积极配合甲方市场管理人员与售后服务人员从事市场开拓及售后服务工作;
1.14 本协议履行期间，乙方的法定代表人、注册资本、住所地或经营场所及经营范围发生变动以及经营状况发生重大变化的，乙方应当及时告知甲方;
1.15 乙方应对本协议履行期间所知悉的甲方的商业秘密、技术信息及业务规划予以保密，不得向第三方透露、提供、翻印或复制，否则，应赔偿甲方因此而受到的一切损失;
1.16 乙方为标识和宣传销售甲方产品可使用甲方的商标、商号或其他任何标志，但不得将其中任何一项许可他人使用，若发现甲方的商标、商号或标志被他人侵犯时，应立即告知甲方;
1.17 本协议终止或解除时，乙方应及时将甲方提供的所有资料归还甲方。

2.3 努力维护区域市场价格的稳定，最大限度保证乙方利益。
2.4 严格按双方协议中所明确的返利及奖励约定向乙方兑现，并对甲方给予乙方的支持承诺及时到位;
2.5 根据乙方需要，及时对乙方专营人员进行技术培训并提供培训资料;
2.6 及时向乙方提供营销政策及调整通知等相关文件及附件;
2.7 甲方安排专职人员协助乙方做好市场开拓、商务洽谈、服务及其它维护性工作，并对乙方提供客户信息资源保密;
2.8 向乙方及时提供有关甲方产品的广告宣传资料样本及促销需要的相关礼品，积极协助乙方的批量公关业务;
2.9 对乙方提报的信息、报告、及投诉及时处理并反扩
第五条 广告宣传
1. 甲方按照乙方的规模及地区等级有计划的无偿提供经销产品的有关宣传资料，乙方应协助甲方在本协议指定经销区域内所做的任何广告及宣传活动。
2. 乙方可自行对所经销的甲方产品进行宣传促销活动，费用由乙方自行承担，乙方所有广告宣传的文稿、图样、文案等须先经甲方审核，征得甲方的书面同意。
3. 乙方必须在办公场所制作并安装符合甲方CI视觉规范的门头，甲方将根据网点形象建设标准按销量给予形象建设补助。
4. 乙方必须自行配置可以播放甲方所提供宣传光碟的音像设备和摆放甲方宣传品的场地。
5. 应乙方要求或根据销售需要，甲方可以向乙方提供样车，乙方应按照样车价格向甲方付款，视为乙方购车，在车辆完整无缺退还甲方后退款，样车在乙方处存放期间，乙方应妥善保管和积极销售。
第六条 车辆维修与用户投诉处理
1. 依据甲方的保修规定，乙方应积极协助甲方或甲方特约维修服务站为用户提供维修、保养等服务。
2. 对于乙方所购车辆，甲方将按照车辆维修的“三包”规定等，负责客车的售后服务工作。但乙方或产品最终用户未按照甲方的要求办理手续，或者未按照车辆使用要求进行操作、使用与保养除外。
3. 乙方必须积极维护甲方及其产品的信誉并保证为产品的最终用户提供便捷的服务。
4. 本协议履行期间，乙方应将最终用户对产品意见或投诉立即通知甲方，同时作好必要的先期事件处理，并协助甲方做好善后工作。
第七条 其它约定
1. 甲方有单方制定、修改、解释营销政策的权利，营销政策的变更和调整由甲方以书面形式通知乙方。
2. 甲方不允许其业务员向乙方借款，凡发生借款的，均属个人行为，
甲方不承担任何责任。
3. 乙方与甲方所签订的《产品买卖合同》必须是加盖甲方公章后，同时交足20%定金后方能生效，作为本协议附件，与本协议正文具有同等效力。

第八条 协议终止和解除
