甲、乙双方经协商，就甲方向乙方采购本合同第一条所述的物资材料事宜达成一致，特此签订本合同，以明确相关事项并约束双方。

一、总价款及支付：

1、甲方向乙方采购本合同下的物资材料应当向乙方支付的总价款为叁拾贰万肆仟玖佰伍拾元整人民币[￥324950.00]。

4、甲方应当在酒店开业后半年之日后的七日内将剩余货款一次性向乙方付清。

二、质量标准：

1、符合国家标准。

2、甲乙双方以样品作为标准的，甲乙双方应当签署《样品标准确认书》并封存双方所认可的样品。

三、交货：

甲、乙双方同意按照下述约定办理：乙方应当在自本合同生效之日起算的30日内将甲方所采购的物资材料运送到甲方所指定的位于广西南宁市的工程施工地点并在该地点向甲方交货，运输、卸货、卸货后搬运到甲方指定地点放臵的费用及责任由乙方自行承担。

四、验收：

1、交货验收：

甲方在乙方向甲方交付甲方所采购的物资材料时应当对物资材料的包装完好性、数量进行检查，并对包装破损的物资材料有权拒绝接收，对数量不足的应当加以签注。

2、甲方使用中的验收：

[1]、甲方在使用所采购的物资材料过程中，对于不符合约定的质量标准的物资材料，甲方应当妥善保管并通知乙方或乙方的执行合同联络人，乙方或乙方的执行合同联络人接到甲方的通知后应当派员在接到通知之日的三日内到达甲方处与甲方人员共同核验质量问题，乙方违反前述规定的，视为甲方异议成立并认定乙方所售货物存在质量问题。

[2]、甲方提出质量异议期限的日期为自甲方收货之日起算三十日，若甲方未能在收货之日起算三十日内使用完毕乙方所售货物的，则甲方质量异议的期限延长至满六十日。前述之延长并不应当影响甲方按照本合同第二条第5款所约定的甲方向乙方支付货款的责任，但甲方照前所述的付款也并不表明乙方所售的货物完全符合质量标准的约定。

[3]、若乙方所售货物的质量需要在使用后的一定时间内方能评判的或只有在使用后方能加以辨别的，甲方有权在上述两款多规定的期限之外的时间对于乙方所售货物提出质量异议并按照上述第1款之约定作出通知，乙方对于通知之应对情况所产生的法律责任与上述第1款所述相同。

五、退货、换货与补货：

1、对于确有质量问题的货物，乙方应当接受甲方提出的退货要求或换货要求，并在甲方提出相应的要求之日起算3日内将退货运离甲方施工现场或将更换的货物送到甲方所指定的位于广西南宁市的工程施工地点并在该地点向甲方交货，运输、卸货、卸货后搬运到甲方指定地点放臵的费用及责任由乙方自行承担。

2、若乙方所售货物属于在使用后需要在外观上具备一定的观赏效果或有某重其他特定要求的货物，乙方应当保证库存有与乙方所售货物在品质、规格、型号、颜色、外观等方面完全一致的至少达到甲方在本合同下采购数量的20%的货物以备甲方在本合同下采购数量不足而需要增加采购时能够按照本合同所约定的货物单价、交货期限向甲方供货。

六、执行合同联络人：

八、违约责任：

2、因乙方所售货物质量问题造成退货、换货而导致甲方工程施工拖延的，自甲方提出退货、换货通知之日起直至乙方重新向甲方交付质量合格的货物之日的期间内，乙方每日应当向甲方支付赔偿金人民币 元。

3、因乙方未尽本合同约定的义务备货导致甲方无法补货而造成的甲方被迫重新向第三方采购货物的，或乙方未及时给予甲方换货或退货而造成甲方被迫重新向第三方采购货物的，乙方还应当赔偿甲方重新采购所花费的价格高于本合同价格的价差损失。

4、违约方应当承担相对方因应对违约方的违约行为、追究违约方的违约责任所支付的包括但不限于聘请律师代理、聘请其他专家工作、调查、公证等的报酬、费用。

九、本合同的变更、解除：

1、本合同未经甲乙双方按照与签署本合同相同的方式书面确认、变更的，本合同不得变更。任何个人无权以任何方式变更本合同，但获得书面承认、追认的除外。
